HubSpot is looking for an experienced Senior Legal Specialist to support the company's corporate and securities functions on the Corporate, Compliance and Risk team in the Legal and Compliance department. This individual will support the team in external reporting, compliance with securities laws, and annual stockholders meeting matters, among other functions.
This individual will collaborate with other legal and compliance team members and cross-functionally with finance and compensation teams on a variety of corporate and securities legal matters. This role is remote eligible and can be based anywhere in the U.S.
In this role, you will be responsible for:
- Supporting the Company's corporate and securities functions and working collaboratively with other members of the Corporate, Compliance and Risk team on Legal & Compliance Department initiatives
- Supporting the preparation of filings with the Securities and Exchange Commission (e.g., 10-Ks, 10-Qs, 8-Ks, and proxy statements) and associated disclosure control processes, including performing peer company research
- Supporting the development, updating, and implementation of policies and procedures in the governance, corporate and securities areas
- Assisting in legal and compliance matters related to executive compensation programs, including equity plans
- Assisting in the Company's processes for director and officer questionnaires, including related person transaction tracking and updating corporate records with cross-functional teams
- Supporting the planning and logistics for the annual stockholders meeting and research on ISS, Glass Lewis and investor voting policies
- Supporting ESG investor outreach efforts
- Assisting with special projects or tasks on an as-needed basis
- Partnering with other Legal Specialists in supporting the broader needs of the Legal and Compliance Department
We are looking for people who:
- Have general corporate legal experience, preferably both at law firms and in-house
- Possess experience in public company securities regulation compliance, including support for SEC filings, such as annual, quarterly and current reports and proxy statements
- Have experience with the annual stockholders meeting process
- Develop trusted relationships with cross functional stakeholders to ensure successful execution of team processes and procedures
- Have project management skills
- Are good communicators
