WHAT YOU NEED TO KNOW ABOUT THE JOB:
The American Red Cross in search of a highly motivated team player to serve as Senior Legal Counsel in support of corporate and commercial transactions in the Office of the General Counsel. The successful candidate will support our fast-paced, high-output business operations in all aspects of corporate transactions, from corporate governance issues to complex commercial transactions, and will have significant experience in structuring, drafting, and negotiating transaction documents for a wide variety of enterprise transaction matters, including employee health benefit transactions. Knowledge of corporate governance and/or the laws governing nonprofits and tax-exempt organizations is a plus. Top candidates will be well-versed in key contracting principles, with the ability to interpret clauses and exercise sound judgment. The successful candidate must be detail-oriented, intellectually curious, and must possess exceptional communication, time management, and organizational skills.

The work location for this exciting opportunity is virtual. The selected candidate will work 100% remotely from home and can be located anywhere in the United States with a preference to work East Coast hours. Residents of the DC, Maryland and Virginia area are preferred. For non-local residents, travel to attend departmental meetings in DC 2-4 times per year will be required.
WHERE YOUR CAREER IS A FORCE FOR GOOD (Key Responsibilities):
  • Assist in the structuring, negotiation, and documentation of a high volume of corporate and commercial transactions, employee health benefit transactions, and other transactions in support of business operational needs, including for the purchase and sale of assets, goods and services, the structuring and negotiating of strategic alliances and consolidations, and private equity arrangements
  • Analyze and interpret transaction documents as necessary to determine and advise a diverse client base on contractual rights and obligations
  • Identify, resolve, and effectively communicate legal issues that arise in existing commercial relationships, and handle pre-litigation legal disputes and inquiries
  • Perform legal research as necessary to determine the adverse impact of identified regulations on commercial arrangements
  • Manage assignments to ensure that work product is delivered accurately and on time
  • Dynamic review of transaction forms and templates and adjusting them as necessary to meet changing regulations and/or business requirements
  • Ensure full compliance with organizational standards, policies, and procedures, as well as all relevant laws and regulations
  • Manage outside counsel efficiently and prioritize multiple mission critical projects as they arise
  • Support OGC leadership as needed to implement and support process improvements to mitigate enterprise risk, such as the preparation and delivery of training workshops
  • Build and maintain productive, collaborative working relationships with internal clients and transaction review partners, to establish credibility, influence where appropriate and provide sound guidance and excellent client service

WHAT YOU NEED TO SUCCEED (required/minimum qualifications):
  • Juris Doctor from an accredited law school and a minimum of 7 years relevant experience
  • Licensed to practice and in good standing in a United States state bar
  • Proven experience practicing as a corporate and commercial transactions attorney
  • Strong transactional background, with solid drafting and negotiation experience and a firm understanding of contract structure and contract lifecycles
  • Understand critical business operations and structure strategies, agreements, and transactions necessary to address key business issues
  • Excellent time management skills and ability to adjust to changing project priorities in a fast-paced and deadline-driven environment
  • Perceptive and flexible, with exceptional problem-solving and decision-making abilities and ability to work in a diverse and collaborative team environment
  • Proactive self-starter and team player with the capacity to regulate and perform under stress
  • Superior oral and written communication skills and the ability to break down legal matters into everyday language for clients and business partners at all levels within the organization to understand
  • Must be highly organized with excellent attention to detail and a commitment to providing superior service
  • Must possess a high level of integrity and legal ethics
  • Advanced proficiency in Microsoft Office Suite applications, specifically Word, Excel, and SharePoint

  • Experience with employee health benefit transactions

  • Combination of candidate’s education and general experience satisfies requirements so long as the total years equate to description’s minimum education and general experience years combined (Management experience cannot be substituted).

PAY INFORMATION:
The starting annual salary range for this position is $150K - $165K. We do not offer an annual bonus for this role.
Note that American Red Cross salaries are aligned to the specific geographic location in which the work is primarily performed. Other factors that may be used to determine your actual salary may include your specific skills, how many years of experience you have and comparison to other employees already in this role. **We will review specific salary information at the time of phone screening based upon your location & experience.**

This job will be posted for a minimum of five business days and extended if the applicant pool needs to be expanded.
