Senior Counsel, Corporate And Securities

This is a hybrid role based out of our Los Angeles office or one of our other hub offices (SF Bay Area, NYC, Chicago, or Washington, DC) and will require you to be in the office Tuesdays and Thursdays.

Grindr (NYSE: GRND) is seeking an outstanding Senior Counsel, Corporate & Securities, to join our expanding Legal team. This position offers an exciting opportunity for an ambitious team player to help drive the next chapter of our growth by leading Grindr's critical Corporate and Securities legal affairs.
What's the job?

• Securities:
  • You'll lead Grindr's public company legal work, including all SEC and NYSE matters, our proxy statement, and our annual shareholder meeting, in collaboration with our Finance team and outside securities counsel.
  • Stay abreast of regulatory changes and developments, advising the company on potential impacts and implementing necessary adjustments to practices and procedures.
• Corporate:
  • Working with our Executive team and Board of Directors, you'll lead our corporate governance work, including: advising on, developing, and managing resolutions and updates for our Board and Board Committees; ensuring compliance with applicable laws, regulations, and corporate policies; and overseeing our employee equity plan and grants.
  • Collaborate with executive leadership and our Audit Committee to ensure adherence to corporate governance best practices.
• Financings, M&A, and Other Transactions: You will be Legal's point person for Grindr's existing credit facility, future securities and debt offerings, M&A, and other corporate transactions.
• Collaboration and Leadership: You'll work closely with our Finance, Investor Relations, and HR teams, and regularly interact with our Sec. 16 officers, Board members, and Product and Marketing teams to provide essential counsel.
• Breadth + Depth: As a key member of our 5-person Legal team, you'll have an opportunity to flex (and expand) your skills in a dynamic environment that fosters growth, grit, and operational excellence.

Grindr is committed to fair and equitable compensation practices. The base pay for this role is between $200,000 and $275,000, plus bonus, equity, and benefits. This base pay range is for the U.S. and is not applicable to locations outside of the U.S. The actual base pay is dependent upon many factors, such as training, transferable skills, work experience, business needs, location, and market demands. The base pay range is subject to change and may be modified in the future.
What we'll love about you

• Minimum 7-10 years of experience with increasing responsibility practicing securities and corporate law for public companies, ideally in both law firm and in-house settings, including preparing and filing proxy statements, 10-Ks, 10-Qs, and 8-Ks.
• Expertise in SEC regulations, disclosure requirements, and compliance and exchange rules.
• Experience managing corporate governance matters, including Board resolutions and compliance.
• Facility with corporate transactions, financings, and the breadth of general corporate work streams.
• Impeccable attention to detail, strong work ethic, strong written and verbal, communication skills, and a team-first commitment.
• Proactive, decisive, owner mindset.
• J.D. from a top-tier law school.
• Active Bar membership in good standing.
