Description:
As a Senior Counsel, you will play a pivotal role in providing legal support and guidance to the company's operations and strategic initiatives. Working closely with the General Counsel and other members of the legal team, you will be responsible for a wide range of legal matters, including contract negotiation, regulatory compliance, risk management, and corporate governance.Key Responsibilities:
- Contract Negotiation and Drafting: Negotiate, draft, and review a variety of contracts and agreements, including sales agreements, power purchase agreements, vendor contracts, leases, and construction agreements.
- Regulatory Compliance: Stay abreast of relevant laws, regulations, and industry standards impacting the chemical, manufacturing and renewable energy sector. Ensure compliance with all applicable legal requirements and advise on regulatory matters.
- Risk Management: Identify and assess legal risks associated with business activities and develop strategies to mitigate risks effectively. Provide proactive legal advice to support risk management efforts across the organization.
- Corporate Governance: Assist with corporate governance matters, including entity formation, corporate filings, board meetings, and corporate policies. Maintain corporate records and ensure compliance with corporate governance standards.
- Dispute Resolution: Assist in the resolution of disputes and legal proceedings, including litigation, arbitration, and regulatory investigations. Collaborate with internal stakeholders and external counsel as needed.
- Legal Research and Analysis: Conduct legal research and analysis on various issues impacting the renewable energy industry. Provide clear and concise legal guidance to internal stakeholders based on research findings.
- Collaboration and Communication: Collaborate effectively with cross-functional teams, including business development, finance, operations, and environmental compliance. Communicate legal concepts and implications to non-legal stakeholders in a clear and understandable manner.
Qualifications:
- Juris Doctor (J.D.) degree from an accredited law school.
- Admission to the Oklahoma Bar or eligibility for admission as in-house counsel in Oklahoma.
- 3-5 years of experience practicing law, with a focus on chemicals, renewable energy, environmental law, or related fields.
- Strong understanding of contract law, regulatory compliance, and corporate governance principles.
- Excellent communication, negotiation, and analytical skills.
- Ability to work independently and collaboratively in a fast-paced environment.
- Prior experience in a corporate legal department or law firm preferred.
