Senior Counsel, Construction

Summary

The Senior Counsel, Construction will be committed to providing best in class legal services with significant expertise in a wide range of subject matter areas including on items such as construction matters, contracts, subcontracting, and real estate work. This position will review, interpret and translate legal requirements and effectively communicate these to colleagues at all levels of the company, including upper management. They will possess strong commercial acumen and be able to distill complex legal issues into practical advice. The position will be located in Houston.

Job Duties and Responsibilities

Responsibilities will include:

  • EPC Agreements, O&M Agreements, Construction Management Agreements, subcontractor agreements, pipeline lateral and interconnect agreements, leases, gas rights and other construction and real estate transaction documents negotiation and drafting.
  • Managing legal aspects of project construction, including reviewing change orders, liquidated damages provisions and force majeure notices, supporting the permit compliance and operations teams, etc.
  • Providing daily legal support and direction to project managers, permitting compliance team, construction managers, engineers and other project staff.
  • Coordinating legal and business terms across various project agreements and assisting with project diligence.
  • Review and provide advice regarding real estate and construction due diligence matters, including title, survey, environmental, permitting, zoning and entitlements.
  • Manage outside counsel, as needed.
  • Complete initial review of interconnect agreements.
  • Manage external counsel and mitigate legal costs.
  • Oversee compliance with applicable statues and regulations, review pertinent laws and regulations, and provide legal advice to all company departments and staff.
  • Support other corporate legal projects as needed.

Skills, Experience Required

  • J.D. from an accredited law school
  • Meet local legal license requirements
  • A minimum of 5 years practicing as a corporate attorney.
  • Excellent relationship-building skills. Team player with the ability to work well with internal colleagues, outside legal advisors, and business clients cooperatively and efficiently.
  • Hard working, able to manage numerous challenging work assignments simultaneously under deadline pressure in a fast-paced environment, and willing to work extended hours when necessary.
  • Excellent decision-making and problem-solving skills and demonstrated maturity and good judgment.
  • Superior oral and written communication skills and attention to detail.
  • Ability to work independently on complex projects and as a member of various teams and committees.
  • Must be able to speak, read, write, and understand the primary language(s) used in the workplace.
  • A creative and innovative, solutions-oriented mindset.
  • Excellent interpersonal skills, with an ability to work well with the internal stakeholders and individuals outside the company.
