About the Role

SGS is seeking a SeniorContracts & Proposal Operations Manager to join our dynamic team and oversee various aspects of contract administration and negotiation, proposal preparation and submittal, and strategic assessment and negotiation of business pursuits. In this role, you will collaborate with cross-functional teams to ensure the successful execution of contracts and compliance with legal and regulatory requirements. Our ideal candidate has a deep understanding of various government and commercial contractual environments where your expertise will serve as the catalyst to identify, manage, and mitigate risk.

Responsibilities

  • Contracts
    • Manage cradle-to-grave contract lifecycle, from proposal development to contract closeout
    • Draft, negotiate, and administer Non-Disclosure Agreements, Teaming Agreements, Subcontractor Agreements, Partner Agreements, Intercompany Negotiations, and miscellaneous letters and correspondence in support of SGS
    • Review and negotiate pre-award agreementsto ensure that the documents accurately reflect the parties' positions
    • Draft IWO agreements and coordinate review/approval process between SGS and the Parent Company, including negotiating legal and contractual terms
    • Provide contractual expertise, guidance, training and leadership to cross-functional department leaders and employees
    • Oversee existing contracts and coordinate contract kick-off meetings
    • Expand contract processes, tools, and templates, maintaining repository of contractual and agreement documents within company tools
  • Proposals
    • Coordinate and review/edit proposal inputs from a variety of internal stakeholders for cohesiveness, ensuring compliance in proposal writing and best practices
    • Draft and complete administrative and compliance document requirements
    • Provide oversight of final proposal production, including proofreading and editing, and submit proposals, ROMs, white papers, etc
    • Prepare and send all RFPs and RFQs to prospective subcontractors and vendors that promote efficiency and ensure adequate competition/documentation of selection; evaluate subcontractor proposals
    • Analyze terms & conditions, developing clarifying and risk mitigation questions as needed, to evaluate and ensure acceptable low risks for SGS
    • Review OCI requirements, assurance of compliance with Service Contract Act (SCA) or Davis Bacon and Related Acts (DBA/DBRA), and small business requirements as applicable 
  • Legal
    • Support SGS Facility Clearance Level (FCL) process by drafting and coordinating approval of contractual and process documents
    • Coordinate with outside legal counsel and Parent Company's legal team on contractual and compliance matters

About You

  • Must be a U.S. Citizen
  • Bachelor's or Master's degree with a minimum of 8 years of experience in managing federal contracts, encompassing interpretation and negotiation of contract terms and conditions
  • Familiarity with industry-standard business practices and prime contract negotiation
  • In-depth knowledge of Federal Acquisition Regulations (FAR), Defense Federal Acquisition Regulations (DFAR), small business regulations, government procurement processes, and contract law
  • Ability to effectively explain complex legal issues to non-lawyers and lead negotiations
  • Proficiency with HubSpot, SAM.gov, MS Office Suite, SharePoint, and other legal/proposal tools
  • Possess excellent verbal and written skills to communicate effectively with various functional groups at all levels, both internal and external
  • Strong work ethic, with the flexibility to adapt and thrive in an environment that is constantly expanding and changing as our business grows
  • Can quickly develop a practical or innovative approach to legal issues in support of strategic business initiatives and objectives
  • Detail-oriented, focused individual who has the ability to multi-task with ease
  • Paralegal certificate or JD degree is ideal
