Company Description

Experian is the world’s leading global information services company. During life’s big moments – from buying a home or a car to sending a child to college, to growing a business by connecting with new customers – we empower consumers and our clients to manage their data with confidence. We help individuals to take financial control and access financial services, businesses to make smarter decisions and thrive, lenders to lend more responsibly, and organizations to prevent identity fraud and crime.

We have 20,000 people operating across 44 countries and every day we’re investing in new technologies, talented people, and innovation to help all our clients maximize every opportunity.

We are thrilled to share that FORTUNE has named Experian one of the 100 Best Companies to work for. In addition, for the last five years, we’ve been named in the 100 “World’s Most Innovative Companies” by Forbes Magazine.

Experian is seeking an experienced attorney with several years of experience working with complex agreements for sophisticated clients in a variety of industries and the public sector, including telecom, financial services, fintech, and technology. The position will provide you the opportunity to negotiate contracts directly with Experian’s business clients, requiring in-depth work with and understanding of agreements for a variety of products and services, including credit and marketing data services, SaaS, licensed software, consulting, professional services, and analytics, as well as NDAs, evaluation agreements, standard terms and conditions, service level agreements, and master services agreements. The right attorney for this position is entrepreneurial, values customer service, sincerely wants to help where needed, and truly enjoys working directly with clients and salespeople at all levels. Our new team member may work remotely or if desired in a local Experian office and has a passion for learning, both as a lawyer and more generally as a business professional.

Job Description

What you’ll be doing

  • As a front-line negotiator and business partner, you will find creative solutions that meet both Experian’s and its clients’ business and compliance needs and ensure that contracts comply with Experian policies and business practices, and regulatory requirements.
  • This position requires coordination with various stakeholders and subject matter experts in various roles, including information security, internal and regulatory compliance, sales, product marketing, corporate legal, and finance to help drive transactions to successful completion within the required (and oftentimes aggressive) time frame.
  • You will also maintain and enforce contracting policies, which will involve obtaining and documenting approvals for non-standard terms and pricing, assisting sales teams with on-going administration of client contracts, advising management on contractual terms and risks, and providing training to sales and other departments on contract issues and negotiation strategies.
  • Using your judgment and discretion to make sound decisions quickly to facilitate deal execution while minimizing risk to Experian’s interests.

Qualifications

What your background looks like

  • JD from an accredited law school; admission to the bar of any state.
  • 7 plus years of legal experience, preferably as member of in-house legal department or contracts department.
  • High level of comfort in a large, complex business environment in support of a sales-focused organization, interacting directly with business and technical colleagues and executive leadership in order to provide succinct, results-oriented advice in connection with contract terms and business policies/practices.
  • Excellent contract drafting skills and ability to lead a contract negotiation, understanding how to balance key risks and opportunities to reach a mutually acceptable agreement while maintaining a professional decorum and fostering strong internal and external relationships, including leading calls with clients during contract negotiations.
  • Direct experience negotiating critical contract terms, such as Limitations of Liability, Indemnification, Warranties, Termination, Data Security, and Confidentiality.
  • Experience aligning contract terms to meet revenue recognition requirements and accounting rules for various types of services, including software and custom development projects.
  • Excellent and advanced Microsoft Word skills, prior experience using Microsoft Excel and PowerPoint, proficiency with Adobe products (PDFs and Adobe Sign).
  • Demonstrated strong interest in, desire to use, and embrace of various technology platforms.

It would be great if you

  • Have direct experience creating contract records in Salesforce, Salesforce reporting, and appropriately document approvals and deviations within Salesforce.
  • Have familiarity with state and federal privacy laws, including the FCRA, GDPR, CCPA, and HIPPA.

Personal qualities that make you a fit

  • Ability to effectively communicate substantive content (both written, email and oral) in an affable, impactful, and concise manner, confident decision-making abilities, and a willingness to exercise appropriate levels of discretion to enable business outcomes.
  • Comfort with blocking out the “noise” to focus on critical tasks.
  • Strong attention to detail and organizational skills, with ability to manage template agreements and revisions, including updating existing legacy contracts to bring into compliance with company policies.
  • Proven ability to prioritize multiple tasks and effectively support numerous sales associates with diverse needs, changing/competing priorities, and/or deadlines.
  • Problem solver with a “take charge” mentality.
  • Team player with a positive attitude – collaborative, contributes to team success, and willing to take on a challenge.
