Description:
Duties:- Assist in representation of clients across various corporate practice areas, including capital markets, public company and securities law counseling, debt financings, mergers and acquisitions, emerging company and venture capital financings;
- Assist in advising private and public companies at various stages in their lifecycle on a wide range of corporate matters, including drafting formation and other organizational documents;
- Draft, negotiate and review venture financing documents, asset purchase agreements, merger agreements and ancillary documents;
- Prepare and review proxy statements, 10-Qs, 10-Ks and other filings with the SEC;
- Lead diligence work-streams and manage disclosure schedule process;
- Manage closing processes including supervising associates and paralegals;
- Train junior associates, including preparing and presenting CLE trainings.
- Domestic (U.S.) travel is required; Training and integration opportunities to travel to other domestic offices and potentially for client matters (10%).
- Telecommuting permitted up to 40%.
Job Requirements:
The position requires a Juris Doctor (JD) (or foreign equivalent) and 3 years of experience in the job offered or in a related occupation. Position also requires Massachusetts bar admission and 36 months of experience in the following:
- Demonstrable working knowledge of various corporate practice matters, including capital markets, public company and securities law counseling, debt financings, mergers and acquisitions, startups and venture capital financing;
- Demonstrable working knowledge across a variety of merger types including: public/public, public/private, private/private;
- Managing a transaction between signing and closing including supervising associates and paralegals;
- Demonstrable working knowledge in the following statutory areas: Securities Act; Exchange Act; Regulation S-K; Sarbanes-Oxley Act; Dodd-Frank Act; Delaware General Corporation Law, business corporation law of the jurisdiction of Massachusetts (including related internal company compliance policies);
- Strong drafting skills including experience supervising the drafting of transaction documents for financings, M&A and capital markets transactions, complex "non-form based" contractual provisions, ancillary agreements, and press releases;
- Managing transaction teams including supervising filings with government agencies and self-regulatory organizations;
- Managing and supervising junior associates in due diligence for financings, M&A and capital markets transactions;
- Taking the lead role in emerging companies venture capital financings, in consultation with a partner;
- Participating in client pitches.
