The corporate paralegal will be central point of contact for all corporate legal matters. This includes commercial contract matters requiring an understanding of sales channels, supply chain, regulator, environmental, trade laws, US Federal Acquisition Regulations (FAR) and human resources compliance.
The focus of this position is on meeting and exceeding high standards of accuracy and quality based on established guidelines. Strength in technical problem solving based on expertise and experience, and a strong commitment to efficiently achieve high quality results is required. A thoughtful, persevering, self-disciplined approach to achieving accurate, detailed work is essential. Job responsibilities and expectations are clearly defined, as is the scope of job authority. A key aspect of the job includes the ongoing identification of problems and the development of sound, carefully thought-out solutions. Because of the expertise developed in this position, it is necessary to regularly initiate and communicate viewpoints on problems and opportunities in a factual, straightforward manner. This job allows for autonomy and independence and is primarily self-reliant.
Essential Job Responsibilities
- Prepare and review various legal documents including confidentiality, reseller, and contractor / subcontractor agreements.
- Review and negotiate contracts, as needed
- Monitor and ensure compliance with state, local federal and FAR regulations
- Provide effective communication with outside counsel to assign, maintain, and update various corporate and other legal related matters
- Maintain and monitor the company patent and trademark portfolio.
- Research and prepare documentation for the formation and maintenance of corporate, partnership and LLC entities
- Draft company resolutions and related documents
- Provide administrative support, maintenance, and management of databases, and filing of correspondence and legal documents.
· Assist in responding to subpoenas and discovery requests
- Assist with organizational housekeeping matters (including entity formation, entity dissolution, entity foreign qualifications and DBAs, obtaining EINs, etc.); document management; service of process management; and the preparation of materials for meetings of the Board of Directors and its Committees
- Support HR related legal to include policy development, corporate compliance, Tellabs Global Anti-Corruption, Corporate Integrity
- Support and maintain Workers Compensation compliance and audit to ensure accuracy of data
- Provide COVID-19 related HR and legal guidance and advice
- Assist with other legal projects and tasks as needed
Required Education:
· Bachelor’s degree and or paralegal certification and directly related experience
Required Experience, Skills and Abilities:
· Minimum of 2 years paralegal experience or corporate legal department experience; ideally in commercial contracts and negotiation
· Training or experience in product regulatory, environmental, trade law and US Federal Acquisition Regulations (FAR)
- Ability to work independently and as a team player
- Trustworthy and able to maintain confidentiality
- Ability to excel in a fast-paced environment and react well under pressure
- Excellent telephone/communication/professional skills
- High degree of attention to detail to ensure accuracy and thoroughness
- Legal experience and working knowledge of the legal processes
- Ability to understand and interpret legal documents
- Proficiency in all Microsoft Office components (Excel, Word, PowerPoint, SharePoint) and other office administrative functions
Preferred Experience, Skills and Abilities:
- Notary Public credentials are preferred
