Paralegal, Corporate Governance and Global Subsidiary Management
About the Paralegal Corporate Governance and Global Subsidiary Management:
We are looking for a self-starting professional with a growth mindset to join our diverse and dynamic Global Legal, Business Integrity, and Government Affairs (GLBG) team, as Paralegal Corporate Governance and Global Subsidiary Management, reporting to the VP & Associate General Counsel, Corporate, Securities, Finance, & Strategy ("Assistant Corporate Secretary").
The Paralegal Corporate Governance, Global Subsidiary Management & SEC Compliance will report to the Assistant Corporate Secretary, and will support the Senior Manager, Board Administration, Corporate Governance & SEC Compliance in matters relating to the Board of Directors of Ingredion Incorporated and certain SEC compliance matters described below; as well as work closely with members of the Global Legal, Business Integrity and Government Affairs (GLBG) and business teams to support and promote good Corporate Governance practices and working on other general corporate matters, as needed.

Core Responsibilities:
  • Assist with creation, dissolution, or restructure of domestic and international affiliates.
  • Manage domestic affiliate governance matters, including maintenance of affiliate minute books including preparation of minutes and written consents, managing qualification, continued maintenance of good standing, or withdrawal of domestic affiliates in U.S. states where they are determined to do business.
  • Assist with international affiliate governance matters, including review of all international governance documents, including consents, minutes of affiliate board meeting minutes, consents or other documents requiring corporate execution for proper format and compliance with internal Ingredion requirements; if everything is in order, assist with obtaining signatures for these documents; help to facilitate information requests from international affiliates in order to enable continued compliance with all applicable legal requirements.
  • Maintain the Company's entity management system, including keeping up-to-date records of entity names, stockholders, directors, and officers/managers; serve as key internal point of contact with vendor customer service for all matters relating to the entity management system.
  • Serve as key point of interdepartmental contact for other departments and functions and internal customers around the world, including Accounting/Finance/Treasury, Intellectual Property, Internal Audit, and Tax, including with respect to requests for information or assistance, intracompany agreements, and requests for proof of good standing for individual entities.
  • In coordination with the office of the CEO, lead Company board of director meeting planning with respect to travel logistics (hotel reservations and ground transportation to and from board meetings) and meals
  • Prepare, seek approval, and post the "board updates" book to the Company's Diligent board portal for each regularly scheduled board of directors meeting.
  • Assist with documenting and administering the Company's annual repatriation process as well as interim dividends or other distributions on an as needed basis.
  • Assist with the preparation and execution of legal-related powers of attorney for both domestic and international entities.
  • Prepare and obtain signatures and legalizations/authentications/apostilles, if needed, for proxies, powers of attorney, patents and trademarks related documentation, and other documents, as needed, for both domestic and international affiliates
  • Assist, as needed, with mergers and acquisition activity, including the integration of new affiliates into existing systems and managing any associated qualifications or withdrawals.
  • Work with Human Resources, as needed, with respect to immigration matters.
  • Work with Risk Management, as needed, with respect to insurance applications.
  • In connection with all the foregoing, work with domestic and international affiliates and in-house counsel to ensure that documents meet local legal requirements as well as Ingredion internal protocols and that appropriate diligence is conducted prior to issuing governance documents.
  • Train and serve as backup administrator for the Company's e-billing system.

REQUIREMENTS
  • Associate or bachelor's degree
  • A minimum of 3-5 years of work experience in general corporate matters in a law firm or in-house legal environment, preferably including a demonstrable history of experience with domestic and international corporate entity governance related matters.
  • Strong communication skills, both written and oral, with the demonstrated ability to communicate with all levels of management, all departments, and representatives of all domestic and international affiliates with tact and diplomacy and in a clear, focused, and concise manner.
  • Must demonstrate a strong attention to detail with excellent organizational and prioritization skills.
  • Proven ability to work under pressure and within tight time frames.
  • Ability to act independently and proactively, with ability to identify situations when attorney oversight is required.
  • Requires experience handling confidential information and correspondence and a familiarity with methods and approaches to maintain confidentiality.
  • Prior experience working cross-culturally with affiliates around the globe is a plus.
  • Experience in developing and maintaining filing and docketing systems and proficiency in accurate recordkeeping.
  • Good judgment, integrity, high energy, and demonstrated understanding of general business values and ethics.
