Job Summary and Qualifications

As the Sr. M&A Analyst you will support the implementation of the strategic goals and objectives for Corporate Development. You will support Vice Presidents and Assistant Vice Presidents in all aspects of transaction management and execution of transactions. You will communicates with senior management of HCA, division leadership, and principles of outside companies, including CEO’s,and CFO’s. Your primary responsibilities include development of complex Excel spreadsheets and financial models to generate valuations and support for each contemplated transaction; review and analysis of financial statements and operating statistics; review and analysis of due diligence information, including both raw data and reports from internal and external parties; support communication with large, multi-disciplinary due diligence teams, including project management of due diligence activities; preparation of financial schedules for definitive agreements; analysis of post-closing settlement processes; and performance of special research projects as requested. You will Support efforts by Corporate Development teams that review and present among HCA internal leadership with respect to model assumptions and communication of long-term business plans and strategic plans. 

Your responsibilities will include:

  • Development of complex Excel spreadsheets and financial models to generate valuations and support for each contemplated transaction.
  • Creates materials prepared for communications with Senior HCA Management and Division leadership about strategy for acquisitions and relevant assumptions. Brokers compromises between differing opinions.
  • Review and perform analysis of financial statements and operating statistics.
  • Review and perform analysis of due diligence information.
  • Prepares analysis and conclusions pertaining to the foregoing to Development leadership, Division Leadership, and HCA Senior Management.
  • Management of certain due diligence activities.
  • Preparation of financial schedules for definitive agreements
  • Analysis of post-closing settlement processes.
  • Performance of special research projects as requested.
  • Assumes a leadership role in coordinating and communicating due diligence issues with outside due diligence firms and internal corporate resources.
  • Assumes a leadership role in coordinating with inside and outside legal counsel to resolve due diligence issues.
  • Prepares materials and implementation of “Post-Mortem” reviews and due diligence process improvement.
  • On a monthly basis, monitors and follows up on delivery of monthly financial statements from active acquisition targets (or provision of financial statements to buyers with respect to active divestiture targets).
  • Maintains professional growth and development through seminars, workshops and professional affiliations to keep abreast of latest trends in field of expertise.
  • Participate with Vice Presidents and Assistant Vice Presidents in negotiation sessions and provide requested support.
  • Practices and adheres to HCA’s Code of Conduct and Mission and Values Statement.

Requirements for the position include:

  • CPA and/or CFA Level I preferred
  • 5 years experience 
  • Master’s Degree Required degree with emphasis in finance, accounting or business
  • 4+ years of progressively responsible financial experience within a hospital company, investment bank, public accounting firm or combination of the foregoing
  • Knowledge of valuation concepts and practices
  • Knowledge of healthcare financial terminology
  • Excellent skills in Excel spreadsheet modeling
  • Skill in communicating effectively with all levels of the organization, including senior management, divisional leaderships, and external firms
  • Skill in developing reports and presentations
