Job Summary:

Responsible for day-to-day administration of the company's equity programs, including equity awards for employees and non-employee directors and global ESPP offerings. Will be responsible for processing equity awards, supporting employee communications, maintaining accurate records, managing relationships with external vendors and internal partners, and assisting with preparation and filing of required disclosures, including Section 16 filings with the SEC.  The ideal candidate will help drive process improvements and streamline operations and will regularly collaborate with HR, payroll, finance and other departments.   

Essential Functions & Accountabilities:

  • Support day-to-day administration of the company's equity programs, including processing new equity awards, exercises, cancellations.
  • Respond to employee inquiries regarding equity programs and education while providing excellent service to plan participants at all levels.
  • Collaborate with payroll, legal, finance, tax, and HR teams on equity related items as needed.
  • Prepare reports for internal partners and respond to ad hoc data requests.
  • Support employee understanding of equity awards programs and policies through the preparation of training materials, employee communications, and providing training to employees
  • Ensure database integrity and accuracy of record keeping of employee data and equity data in the stock administration system
  • Oversee and manage relationships with external equity plan administration platform (UBS) and transfer agent (Equiniti)
  • Assist in the preparation and filing of Section 16 reports (Form 3, 4 and 5)
  • Work with our plan administration platform and internal partners to enforce insider trading policy restrictions, including communications regarding the list of employees affected by trading blackout periods and pre-clearance requirements
  • Lead administration of ESPP, including enrollment, contribution changes and quarterly purchases.
  • Manage compliance with US and international tax laws regarding equity incentive plans, including ESPP, working with outside vendors as needed
  • Reconcile equity activity, including shares outstanding and share reserves, among company records, the transfer agent, and broker records; maintaining share pool balances; and supporting Payroll and Treasury reconciliations as needed.
  • Provide support for 10-Q and 10-K equity disclosures
  • Participate in the preparation of the annual proxy filing, including providing and reviewing equity data included in the document
  • Support preparation of equity-related materials for the Board and Compensation Committee meetings
  • Assist with responses to audit and internal audit requests
  • Ensure proper compliance with SOX and internal controls.
  • Optimize processes, workflow and internal controls related to stock administration.

Minimal Travel Requirement - 5% (Up to 3 weeks)

Qualifications

Knowledge, Skills and Abilities:

  • Experience with different equity award forms across multiple international jurisdictions (e.g., RSU, PSU, stock options, and ESPP) 
  • Experience working with transfer agents and on equity management platforms with preference on UBS Plan Admin Pro 
  • Experience with various forms and filings with the SEC (Proxies, Section 16 Forms, executive compensation tables)
  • Solid understanding of US federal and state taxation, and a general knowledge of global taxation of equity transactions
  • Understanding of accounting standards relating to Equity Compensation
  • Sensitivity to employee privacy laws such as GDPR and ability to maintain strict confidentiality.
  • Experience managing processes and systems to maximize effectiveness in a SOX compliant environment
  • Demonstrate a high degree of accuracy and attention to detail and excellent organizational skills
  • Strong critical thinking and analytical skills
  • Ability to interact with employees at all levels.
  • Strong Excel skills.
  • Working knowledge of Microsoft Office Suite (Outlook, Word, Excel, and PowerPoint)
  • Excellent written and oral communication skills

  • Willing to report to work in the San Ramon office three days a week 

Experience:

  • 5+ years of relevant experience at a global public company managing equity administration 

Education:

  • Bachelor's degree or equivalent experience
  • Certified Equity Professional (CEP) designation (Level 2 or 3), preferred

For U.S. locations that require disclosure of compensation, the starting base pay for this role is between $129,306 and $172,408 and may include cost of living adjustments.  The actual base pay includes many factors and is subject to change and modification in the future.  This position may also be eligible for other types of compensation and benefits.
