Summary

Goddard Systems, LLC (“GSL”), the manager of The Goddard School® franchise system, is looking for a Legal Intern to join its Legal Department. This internship position will directly report to the Corporate Counsel.

The ideal candidate will be a high energy and detailed oriented individual. The candidate will have the opportunity to work closely with GSL’s Legal team to develop an appreciation for the complex role legal counsel plays in a franchise system, with a specific focus on franchise law regulatory compliance, intellectual property enforcement and registration, contract negotiation, drafting, management, and compliance, and litigation/claims management.

Responsibilities

1. Contract Review and Management
1. Review franchise agreements and related agreements to address ad-hoc requests for support from the business units, Legal, and/or franchisees.
2. Review vendor agreements to address ad-hoc requests for support from the business units and Legal.
3. Draft termination and contract enforcement letters at the direction of counsel.
2. Intellectual Property Support
1. Work collaboratively with business units to assist with IP filings.
2. Draft permissive use letters to publishers, authors, and corporations for purposes of marketing campaigns.
3. Review proprietary and confidential materials for trademark and copyright compliance.
3. Litigation Management
1. Assist with litigation management and litigation holds, including coordinating with assigned counsel to identify documents responsive to document requests and subpoenas.
2. Support claims management and reporting requirements to insurance carriers as requested by counsel.
3. Review documents and prepare summary memoranda and reports as requested by counsel.
4. Participate in meetings and litigation proceedings as requested by counsel.
4. Franchisee and Corporate Compliance
1. Draft compliance letters to franchise owners at the direction of counsel.
2. Assist with reporting requirements to Goddard’s executive committee, ownership group, and various stakeholders, as directed by counsel.
5. Advocacy & Outreach
1. Conduct research and draft memoranda related to proposed state and federal legislation and the impact on GSL and The Goddard School franchise system.
6. Conduct research and draft memoranda on emerging and updates to areas of the law, as directed by counsel.
7. Support the Legal Department and business teams, as needed, on legal matters, special projects, project management, and document management; attend and participate in meetings as needed; other responsibilities may include assisting with drafting policies and procedures and assisting the company to comply with all relevant laws, policies, and corporate compliance matters.

Qualifications

• Bachelor's Degree from an accredited institution.
• Enrolled or recent graduate of an ABA accredited law school.
