Job Description
POSITION SUMMARY
The Corporate Counsel (Counsel) is responsible for managing the many and varied legal affairs of Marshall Medical Center (Marshall). The Counsel areas of focus are a range of legal issues arising at Marshall including regulatory and reimbursement issues, fraud and abuse issues, and risk management. This position will retain and manage outside counsel oversee the Risk Management and Contract Departments. In conjunction with senior leadership, the Counsel establishes legal policies for the organizations, strengthens governance processes, and ensures compliance with internal and external requirements. The Corporate Counsel advises and collaborates with senior management to protect the legal interests of Marshall while helping to drive initiatives and business progress within the organization.
POSITION QUALIFICATIONS
Education/Licensure/Certification:
  • Active State Bar licensure, registration as in-house counsel, or equivalent acceptable status for California. If not active in California will seek to become admitted in California within twelve (12) months of hire.
  • Minimum of 10 years' experience with 4 years of experience in a healthcare in-house counsel role or experience in a law firm as healthcare counsel preferred.
  • Possession of a valid driver's license in the employee's state of residence.
  • *Must meet DMV requirements listed below.

Knowledge & Skills:
  • Extensive knowledge of laws and accreditation standards governing the delivery of healthcare by providers and suppliers, including hospitals, physicians, and ambulatory surgery centers. Experience in fraud and abuse, physician self-referral, anti-kickback, privacy, billing and reimbursement, and patient care issues.
  • Excellent communication skills, both written and verbal, as well as relationship building skills to collaborate with and influence all relevant stakeholders, both internal and external.
  • Experience reviewing and evaluating contracts with physicians and medical practices.
  • Strong independent judgment, problem-solving, critical, and analytical thinking skills, including a "moral compass" and high integrity required.
  • Ability to work with minimal supervision, to multi-task, and to deliver a high-quality work product in a highly regulated, demanding, and constantly changing corporate environment required.
  • Ability to work both independently and collaboratively on teams, applying people management and mentoring skills as required.
  • Ability to constructively discuss issues by inviting varied perspectives and facilitating consensus; comfortable in making quick decisions when necessary as well as in conflict management.
  • Ability to provide legal analysis and guidance on mergers, acquisitions and affiliations between various types of healthcare entities.
  • Must be able to effectively interface and develop collaborative relationships with senior leadership team, physicians, Board of Directors, departmental leaders, front-line staff, and business partners.
  • Ability to review, assess and provide guidance on legal questions and issues in an efficient and timely manner.
  • Ability to manage and oversee the activities and work of outside counsel.

*Note: Positions that read "- DMV" (after the title in Position Manager and in the job posting) require employees to drive at least once per pay period. Candidates must possess and supply proof of: a current Driver's License, a clean DMV printout and Auto Insurance coverage with a minimum of $50,000 per person/$100,000 per occurrence (or a combined single limit of $100,000) and property damage coverage in an amount not less than $50,000 per occurrence.
