We currently have an opening for the following position: Legal Counsel
Overview: Legal Counsel provides legal, business, and strategic counsel to the BCO management and HR team; lead BCO’s risk management efforts; oversee contract lifecycle for all BCO agreements; oversee BCO legal matters, including litigation; balance the protection of BCO’s assets with the presentation of solutions to accomplish business objectives
Location: Indianapolis, Indiana. This is a hybrid opportunity that will work in-office three (3) days per week.
FLSA Status: Full-time, exempt, salary pay

- Draft and maintain library of contract templates for standard BCO lines of service
- Draft contracts for specialty services or unique engagements
- Review proposed changes to standard contract templates and approve all contracts before executive execution
- When a client-drafted agreement is necessary, review and negotiate contract
- Draft, negotiate, review, and maintain all contracts between BCO and its sales professionals
- Review and negotiate contracts with parties providing services to BCO
- Oversee a system of organization and tracking for the lifecycle of all contracts to which BCO is a party (from drafting to negotiation to execution to implementation); coordinate contract renewals with sales professionals and management personnel on contract renewals
- Keep management team abreast of evolving legislation, regulations, case law, and administrative rulings with potential impact on BCO and its industry
- Proactively seek solutions, both in daily operations and potential business opportunities, for BCO to limit its liability exposure
- Coordinate interface with BCO’s insurance agent and carriers (not including employee benefits insurance)
- Coordinate and monitor efforts of outside counsel in all litigation to which BCO is a party
- Provide advice to executive team regarding litigation strategy, both for pending and potential matters
- Coordinate response to governmental complaints/hearings/investigations at the administrative level (e.g., EEOC, real estate commissions, etc.), in collaboration with outside counsel when engaged
- Coordinate response to private complaints/hearings to which BCO is subject (e.g., industry accrediting bodies), in collaboration with outside counsel when engaged
- Coordinate response to any third party audits of a non-financial nature (e.g., administrative agency audit, contractual audit, etc.)
- Ensure BCO and each of its licensed real estate professionals are acting in compliance with statues and administrative regulations in each state where services are provided
- Oversee administrative team’s management of real estate license maintenance and continuing education tracking
- Ensure BCO is acting in compliance with statues and administrative regulations governing any other regulated industry in which the company may elect to participate
- Maintain entity registrations for BCO and its affiliated entities
- Organize/incorporate new affiliated entities as needed
- Draft, maintain, and update organizational documents (e.g., operating agreements, bylaws, etc.) for BCO and its affiliated entities
- Draft company resolutions as needed
- Monitor compliance with entity document requirements and business organization laws
- In consultation with executive team, coordinate selection and engagement of outside counsel where necessary
- Review and approve all invoices for services provided to BCO by outside counsel
- Upon request, provide employment law advice to human resources team
- Advise management team on opportunities for improvement or potential areas of caution in relationship with BCO employees and independent contractors
- Participate in due diligence process, and lead certain elements, for potential acquisition targets
- Draft transaction documents for small deals; on larger deals, coordinate drafting and negotiation of transaction documents with outside counsel
- Coordinate integration of contracts and other assignable rights and responsibilities of any acquired entity
- Where no conflict with the representation of BCO exists, provide limited service legal representation to other parties in whom BCO principals hold beneficial interests
- Draft and negotiate commercial leases on behalf of affiliated owners
- Upon request, advise affiliated property owners on day-to-day property law and landlord-tenant matters
- Coordinate with, and oversee work of, any administrative members of the legal team
- Serve as member of BCO Management Committee and related ad hoc committees
- Other duties as assigned
- Proven experience as an attorney advising business clients
- Full comprehension of the influences of the external environment of a corporation
- Demonstrated ability to create, implement, and advise on proactive risk management strategies and systems
- Strong interpersonal and presentation skills, along with the ability to communicate effectively with others at all levels of the organization
- Juris Doctor (JD) degree
- M.B.A or undergraduate business coursework considered an advantage
