General Counsel

All in Bits is seeking a General Counsel with strong experience in commercial agreements, intellectual property, and building out legal in a rapidly growing startup environment. Your work will be instrumental in supporting our growing product mix as well as the commercial needs throughout the company. This role will own the review and negotiation of all contracts entered into by the company that arise in its course of business. We'll also look to you to design and execute a smoothly conducted contract negotiation process while providing training on such processes throughout the organization.

You will be working closely with AiB's and NewTendermint's Paralegal and Executive Assistant, Developer Experience, Finance and Accounting team, Software and Product Development,  HR & Talent Acquisition team, and you will be laying the foundational infrastructure for an efficient and scalable legal function. 

What you will be doing:

• Work with and advise AiB executive management on various legal matters on new and upcoming cryptocurrency legislation 
• Ensure compliance with all States, Federal and International laws, and regulations including but not limited to the BSA, USA Patriot Act, AML, and OFAC compliance
• Research and analyze company strategy pertaining to SEC guidelines and legislation
• Perform risk assessments, monitoring, and surveillance activities to determine whether these fall within the business risk tolerance
• Execute key strategic initiatives relating to the cryptocurrency business
• Drafting and refining marketing guidelines and review of marketing copy to ensure correctness and accuracy when legal issues are presented
• Build out legal processes and procedures for cross functional collaboration
• Develop internal processes and procedures to manage work done by the legal team and communicate work product to various teams throughout the company
• Communicate with outside counsel as necessary
• Overseeing all legal matters of the business as a whole, including acting as the business legal representative
• Review, coordinate, and update AiB's existing equity philosophy and agreements
• Must have knowledge in company entity creation in relation to blockchain operations

We are looking for someone who has:

• Proven General Counseling experience in a corporate environment
• Overall broad legal knowledge (corporate law, litigations, labor law)
• High degree of professional ethics, integrity, and gravitas
• Excellent judgment and analytical skills
• Juris Doctor from an American Bar Association accredited law school
• Must be active and in good standing in one or more State Bar in the United States, specifically in California and New York
• Knowledge of contract and employment law is a must
• Proficient legal experience in blockchain, cryptocurrency, fund investments,  off-shore corporate formations, venture capital financing, and M&A
• Experience and knowledge of Statutes, rules, and regulations relating to SEC compliance and governance
• Strong analytical, problem-solving, and critical thinking skills
• Excellent communication and interpersonal skills
• Detail-oriented and highly organized
• Skilled in time management and the ability to prioritize tasks
• Excellent command of the English language is essential

Nice to have:

• 8 years + experience in working in in-house legal environment
• Ability to work with a global mindset with colleagues located around the world

$300,000 - $325,000 a year
