Job Description
CSI Pharmacy is seeking a Compliance Officer/General Counsel to oversee the Compliance Program functioning as an independent and objective body that reviews, promotes, and evaluates compliance issues/concerns. The position ensures the CEO, Board of Directors, management, and employees at CSI Pharmacy achieve consistently high levels of compliance with all laws, regulations, and accrediting bodies (ACHC and URAC) while supporting the growth of CSI Pharmacy. The Compliance Officer/General Counsel ensures that CSI Pharmacy's policies and procedures are being followed through monitoring activities such as audits, and that behavior in the organization meets CSI Pharmacy's Code of Conduct. The Compliance Officer/General Counsel will have responsibility around deal sourcing, management of the diligence process, and legal support post-investment.
General Counsel & Compliance Officer Responsibilities:

• Interface on a consistent basis with the CEO and Board of Directors, providing business related analysis and guidance.
• Maintains control of all corporate policies, procedures, and practices for the general operation of CSI Pharmacy and its related activities to prevent illegal, unethical, or improper conduct.
• Oversees periodic reviews and updates of CSI Pharmacy's corporate policies and Code of Conduct to ensure continuing currency and relevance in providing guidance to management and employees
• Collaborates with CSI leadership to conduct an annual compliance risk assessment and internal audit plan based on Office of Inspector General recommendations.
• Through the execution of routine internal audits, identifies potential areas of compliance vulnerability and risk; develops/implements corrective action plans for the resolution of problematic issues, and provides general guidance to CSI management and employees on how to avoid or deal with similar situations in the future.
• Ensures proper reporting of violations or potential violations to duly authorized enforcement agencies (i.e., Office of Civil Rights) as appropriate and/or required.
• Establishes and provides direction and management of CSI Pharmacy's compliance hotline. Monitors a log/tracking systems for all confidential disclosures through the hotline.
• Institutes and maintains an effective compliance communication and training program for CSI Pharmacy, including promoting (a) use of the compliance hotline, (b) heightened awareness of CSI's policies, procedures, and code of conduct, and (c) understanding of new and existing compliance issues and related policies and procedures.
• Collaborates with other departments to direct compliance issues to appropriate existing channels for investigation and resolution.
• Responds to alleged violations of rules, regulations, policies, procedures, and codes of conduct by evaluating and/or recommending the initiation of investigative procedures. Develops and oversees a system for uniform handling of such violations.
• Works with executive team, human resources, compliance team, and others as appropriate to develop an effective compliance training program, including appropriate introductory training for new employees, as well as ongoing training for all employees and managers.
• Maintains a current working knowledge of federal, state, and local regulations; HIPAA, ACHC standards; URAC standards, Medicare, and Medicaid Conditions of Participation.
• Provides education and training about actual, proposed, or pending legislation and regulations that affect operations, compliance, or accreditation.
• Keeps executive leadership abreast of newly identified potential compliance issues and ongoing investigations.
• Serves as a resource and consultant on ACHC standard, URAC Standard, ACHC survey prep, and URAC survey prep.
• Provides oversight and direction of CSI's Privacy and Safety program.
• Establishes and maintains relationship with bankers, brokers, intermediaries, and industry trade and professional organizations to create and maintain deal flow.
• Fully manage the diligence process, including initial document review, structuring, negotiation with seller/intermediary, and interfacing with outside transaction attorneys.
• Provides ongoing legal support (e.g. - contracts review, employment agreements, etc.)
• Develops and helps implement strategies to increase revenue, improve operations, strengthen financial controls, and increase shareholder value.
• Consistently represents the company in a professional manner.
• Maintains effective working relationship and cooperates with all personnel in the Company.
• Participates in administrative staff meetings and attends other meetings and seminars.
• Performs other related duties as assigned or requested.

General Counsel & Compliance Officer Requirements:

• Able to operate successfully in a constantly changing, fast-paced environment. Demonstrated initiative, self-motivation, practical learning skills, enthusiasm, and an ability to complete multiple tasks in a timely and accurate manner.

Education and/or Experience:

• Must have a J.D., with a Bachelor or Masters Degree in Finance and Accounting or Healthcare Administration
• At least two years of experience as an M&A attorney, with experience in healthcare M&A preferred
• At least two years of experience in investment banking and related fields preferred
• A minimum of five years' experience in a health care organization, specialty pharmacy and home health specific experience preferred.
• Significant exposure to ACHC, URAC, Medicare and Medicaid reimbursement and regulations, Stark Law, Anti-Kick Back Laws and Fraud and Abuse Laws.
• Experience with planning and executing risk assessments and internal audits.
• CHC, CHPC, and/or CPCO certification.
• Must have and maintain in good standing professional license, certificate, or registration, as applicable
