COMPANY OVERVIEW:
Toyota Industries North America, Inc., an American Holding Company providing shared professional services to all North American entities of Toyota Industries Corporation (TICO) in Japan. The company is headquartered in Columbus, IN with approximately 50 employees in the fields of Information Technology, Accounting/Finance, Tax, Internal Audit, Legal, and Human Resources.
JOB SUMMARY:
Serves as sole in-house legal counsel for TINA and provides primary legal support and guidance to eight TINA subsidiaries located in multiple jurisdictions. Works closely with other legal colleagues at North American entities. Manages the corporate insurance programs for North America.
JOB RESPONSIBILITIES:
  • Provide strategic leadership for TINA as a member of the TINA Management team.
  • Draft and review legal contracts, letters of agreement and other documents related to commercial, financial and operational matters for non-material handling group companies; facilitate enterprise contract opportunities across group companies.
  • Provide legal advice and other legal service to non-material handling management and clients within the TINA group focusing largely on employment law as well as ensuring all business transactions comply with all relevant laws and regulations.
  • Manage the selection, coordination, retention and evaluation of outside counsel.
  • Handle and/or support litigation and disputes on behalf of the company.
  • Works closely with TMH Dealer Development group to support M&A activity for Toyota dealers and other non-material handling M&A activity. Manage and oversee TINA M&A project team. Provide legal support to new business projects and incorporations of new companies.
  • Draft, review and manage corporate documents of TINA and its subsidiaries.
  • Support compliance audit activities and implementation of compliance enhancements. Support the development of activities to promote and maintain compliance within TINA group companies.
  • Support and serve as a primary team member of Global Compliance Project on behalf of TICO.
  • Plan, develop and implement legal trainings within the TINA group companies as needed in collaboration with other legal teams and outside counsel.
  • Manage the corporate insurance programs for North America and provide insurance support to group companies. Supervises Risk Manager.
  • Provides legal guidance regarding cyber security activities and reporting and insurance requirements.
  • Support and work together with other legal colleagues within the TICO group of companies, with greatest collaboration among North American legal teams.
Work closely with the assigned TICO legal coordinator.
EDUCATION/EXPERIENCE AND SKILLS:
  • Juris Doctor (JD Degree
  • License to practice law within the U.S. Indiana license preferred.
  • 10+ years of progressive experience with a major law firm, or corporate law department.
  • Strong academic record and demonstrated track record of sound judgment, integrity and business ethics.
  • Exposure to and or familiarity with the following areas of law: Employment, compliance, contract, privacy and anti-trust.
  • Experience in working on matters of corporate governance and service as corporate secretary for private or public company..
  • Proven management, leadership, communication skills (both verbal and written) and presentation skills.
  • Experience with all Microsoft Office Products and Adobe Acrobat.
  • Flexibility and creativity in developing legal, business and policy positions and in proposing legally sound solutions.
  • Ability to organize and prioritize competing projects.
  • Ability to maintain confidentiality of records and discretion in all situations.
  • Inspire trust and confidence to earn the respect of company Associates and the public.
  • Ability to adapt to Japanese corporate culture and business practices.
TRAVEL:
  • Most travel is domestic to visit group companies periodically. Occasional international travel to TICO headquarters in Japan may be required. Travel is not expected to be significant, possibly 10-15% of time.
PHYSICAL DEMANDS:
While performing the duties of this position, the employee is frequently required to sit, stand, and communicate verbally and in writing. Manual dexterity and coordination are required to operate standard office equipment such as computer keyboard, calculator, and printer. Work will be performed in an open office environment with cubicles.
