- Provide expert and strategic legal advice to management on a variety of legal topics including contracts, litigation risks, business partnerships, corporate governance, employment law, regulatory matters, and business and practice risks.
- Lead the legal department and manage the team to ensure the highest level of professional legal service and compliance throughout the organization.
- Oversee the selection, retention, management, and evaluation of all outside counsel.
- Draft, review, and negotiate complex commercial agreements, ensuring they are in compliance with all statutory or legal requirements.
- Advise on corporate finance, including mergers and acquisitions, joint ventures, and other significant financial transactions.
- Anticipate and identify legal issues of concern to management and develop effective strategies to mitigate risk.
- Develop and lead corporate legal strategy to promote and protect the company's matters.
- Serve as key lawyer/legal advisor on all major business transactions, including acquisitions, divestitures, and joint ventures.
- Represent the company in legal proceedings (administrative boards, court trials, etc.).
- Draft and administer all contracts, including but not limited to client agreements, employment agreements, and vendor/supplier contracts.
- Juris Doctor (JD) degree from an accredited law school.
- Admitted to practice law in the state where the firm operates.
- A minimum of 10 years of legal experience, ideally in a senior legal position within a comparable corporate environment or respected law firm advising similar-sized clients.
- Proven experience in business negotiations and contract management.
- In-depth understanding of how legal issues affect organizations.
- Ability to develop legal strategy and objectives.
- High degree of professional ethics, integrity, and gravitas.
- Excellent judgment and analytical skills.
- First class interpersonal and communication skills.
- CPA firm experience or a strong understanding of the financial services industry is highly preferred.
