Finance Manager (M&A)

FONON CORP (Fonon) is a Multi-market Holding Company, R&D Center, equipment design and manufacturer, for advanced laser material processing systems for 2D and 3D Subtractive and Additive Manufacturing.

Summary:

As the Finance Manager - M&A, you will be responsible for overseeing and managing all financial aspects of the company's M&A activities. You will work closely with senior management, legal teams, and external advisors to evaluate, structure, and execute strategic transactions. The ideal candidate will have a deep understanding of financial analysis, due diligence processes, and a proven track record of successfully managing M&A transactions.

What You'll Do:

• Financial Analysis and Due Diligence
• Conduct comprehensive financial analyses to assess the financial viability and strategic fit of potential M&A targets.
• Lead and coordinate due diligence processes, working closely with cross-functional teams to evaluate risks and opportunities associated with potential transactions.

Transaction Structuring and Valuation:

• Collaborate with senior management to develop and recommend transaction structures that align with strategic objectives.
• Perform detailed valuation analyses to determine fair value and negotiate favorable terms.

Financial Modeling and Forecasting:

• Develop and maintain complex financial models to evaluate the impact of M&A transactions on the company's financial performance.
• Provide accurate and timely financial forecasts to support decision-making processes.

Deal Execution:

• Lead the financial aspects of deal execution, including coordination with legal teams, negotiation of financial terms, and preparation of transaction documentation.
• Ensure compliance with regulatory requirements and internal policies throughout the deal process.

Post-Merger Integration:

• Collaborate with operational teams to develop and execute post-merger integration plans.
• Monitor and report on the financial performance of acquired entities, identifying and addressing any issues that may arise.

What you'll Bring:

• Bachelor's degree in Finance, Accounting, or related field; MBA or CPA preferred.
• 5+ years of relevant experience in M&A, with a proven track record of successful deal execution.
• Strong financial modeling, valuation, and analytical skills.
• In-depth knowledge of accounting principles and financial reporting.
• Excellent communication and negotiation skills.
• Ability to work collaboratively in a fast-paced and dynamic environment.
• Detail-oriented with strong project management skills.
