FONON CORP (Fonon) is a Multi-market Holding Company, R&D Center, equipment design and manufacturer, for advanced laser material processing systems for 2D and 3D Subtractive and Additive Manufacturing.
Summary:
As the Finance Manager - M&A, you will be responsible for overseeing and managing all financial aspects of the company's M&A activities. You will work closely with senior management, legal teams, and external advisors to evaluate, structure, and execute strategic transactions. The ideal candidate will have a deep understanding of financial analysis, due diligence processes, and a proven track record of successfully managing M&A transactions.
What You'll Do:
- Financial Analysis and Due Diligence
- Conduct comprehensive financial analyses to assess the financial viability and strategic fit of potential M&A targets.
- Lead and coordinate due diligence processes, working closely with cross-functional teams to evaluate risks and opportunities associated with potential transactions.
Transaction Structuring and Valuation:
- Collaborate with senior management to develop and recommend transaction structures that align with strategic objectives.
- Perform detailed valuation analyses to determine fair value and negotiate favorable terms.
Financial Modeling and Forecasting:
- Develop and maintain complex financial models to evaluate the impact of M&A transactions on the company's financial performance.
- Provide accurate and timely financial forecasts to support decision-making processes.
Deal Execution:
- Lead the financial aspects of deal execution, including coordination with legal teams, negotiation of financial terms, and preparation of transaction documentation.
- Ensure compliance with regulatory requirements and internal policies throughout the deal process.
Post-Merger Integration:
- Collaborate with operational teams to develop and execute post-merger integration plans.
- Monitor and report on the financial performance of acquired entities, identifying and addressing any issues that may arise.
What you'll Bring:
- Bachelor's degree in Finance, Accounting, or related field; MBA or CPA preferred.
- 5+ years of relevant experience in M&A, with a proven track record of successful deal execution.
- Strong financial modeling, valuation, and analytical skills.
- In-depth knowledge of accounting principles and financial reporting.
- Excellent communication and negotiation skills.
- Ability to work collaboratively in a fast-paced and dynamic environment.
- Detail-oriented with strong project management skills.
