Overall Job Purpose:
This Director level role reports to the Senior Vice President, Legal Affairs & General Counsel and provides legal support for key agreements and strategic corporate transactions. The successful candidate will have significant experience in diverse areas of health care practice, including corporate and commercial transactions, general healthcare law, and regulatory compliance.
This individual will be a key P3 employee and operate independently in a dynamic environment to support the growing and diverse legal needs of the business. They will work directly with and advise key decision-makers in contract negotiations and other business arrangements, including identifying and proposing solutions to key business issues and managing risk. This position has high visibility to executive management and the board of directors.
Responsibilities:
  • Accountable for understanding federal and state health care law applicable to P3's business, including Medicare rules, HIPAA privacy and security, Accountable Care Organization requirements, insurance requirements and managed care regulatory requirements, in addition to legal and regulatory topics.

  • Managed Health and Managed Behavioral Health Agreement
  • EMR and System Access Agreements
  • Facility Services Agreements
  • IPA & MSO Medical Services Provider Agreements
  • Hospital Agreements
  • IHA Services Agreements
  • Care Management Participation
  • Provider Agreements
  • NDAs
  • Assists with mergers, medical practice acquisitions, joint ventures, network contracting and other strategic transactions including coordinating internal and external teams and due diligence activities.
  • Make recommendations to management on how to respond to legal issues or proposed changes in laws and regulations.
  • Serve as subject matter expert, educational resource, and strategic advisor to business leaders and colleagues.
  • Works directly with and advises key decision-makers in contract negotiations and other business arrangements, including identifying and proposing solutions to key business issues and managing risk.
  • Supports emergent legal matters on an as-needed basis.
  • Assists with legal compliance activities and ensures compliance with company policies, including Privacy/HIPAA, and other legal and regulatory requirements.
  • Works closely with all members of the legal team and internal clients to develop and improve internal processes that will support the growth of the legal department and for meeting contractual and compliance requirements.
  • Manages outside counsel as necessary.

Qualifications:
  • Juris Doctorate from accredited law school and active member in good standing of a state bar
  • A minimum of 5 years of healthcare regulatory and transactional experience in house, in private practice or at a healthcare regulatory organization
  • Able to identify key areas of risk, interpret complex internal and external business issues, and identify and execute solutions
  • Broad understanding of and experience with regulatory and compliance statutes (e.g., HIPAA, Stark Law, Anti-Kickback)
  • May work at P3's Henderson, NV headquarters or remotely from one of the following states: Arizona, California, Florida, Idaho, Kansas, Louisiana, Nevada, North Carolina, North Dakota, Oregon, Tennessee, Texas, Utah, Virginia and Washington
  • Ability to clearly communicate complex legal issues to non-lawyers
  • Must be able to work independently with minimal supervision and manage a significant workload
  • Superior judgment, ability to think critically, establish priorities and drive processes forward, and ability to work effectively on multiple initiatives concurrently
  • Comfortable working with a geographically dispersed team
  • Experience presenting to executive management
  • High level of personal and legal integrity
  • Experience with California DMHC strongly preferred; multi-state experience preferred, particularly in California, Nevada, Oregon, Florida or Arizona; licensed in another state and registered as In-House Counsel in California preferred, but not required
