The Medical College of Wisconsin, a private, not-for-profit health university which includes one of the largest medical schools in the United States along with one of the largest faculty practices, is seeking an experienced health care attorney to serve as their next Deputy General Counsel.
This role will provide high-level legal support through advising and guiding MCW on contractual and business arrangements with its clinical partners, including Froedtert Health, Children’s Wisconsin, and the Zablocki VA. Independent judgment/initiative required. Key responsibilities and priorities include:
Responsibilities:
- Serve under the oversight of the General Counsel and act temporarily in his/her absence to fulfill the responsibilities of the Office of General Counsel. Suggest strategic initiatives to improve the legal support provided to clients of the office, ways to simplify legal processes and improve templates, while also maintaining an appropriate case load of legal matters. Upon request of the General Counsel, serve as a mentor to junior attorneys and staff within the office.
- Provide legal counsel and strategic advice to the organization's executives and management, including but not limited to, the chief executive officer, chief financial officers, chief operating officer and deans/department chairs/division chiefs on a wide range of legal issues.
- Review, draft, negotiate, and manage a variety of complex and high-level transactions and contracts, including joint ventures and major definitive agreements with key strategic partners. Assist in the review and management of other contracts with clinical partners such as professional service agreements.
- Serve as the primary legal representative to complex corporate transactions, including mergers and acquisitions. Participate in due diligence and legal aspects of mergers, acquisitions, and other corporate transactions. Provide oversight and management of outside counsel relationships.Assist in maintaining good corporate governance practices, including advising on board, corporate structure, and compliance with corporate bylaws and regulations.
- Ensure the organization's compliance with relevant laws, regulations, and industry standards in the areas of clinical care, research, education and community engagement. Address issues arising relating to the Stark and Anti-Kickback laws, physician/provider licensure, not for profit tax issues, and antitrust. Identify and assess legal risks and potential liabilities and develop strategies to mitigate them.
- From time to time, oversee and manage litigation and disputes involving the organization. Work closely with outside counsel when necessary.
- Responsibility for oversight and management of certain legal professionals as requested by the General Counsel.
- Advise on new and existing statutory obligations. Conduct legal training for employees to promote legal compliance and awareness within the organization.
- Have in-depth knowledge sufficient to assist with additional specialty health care topics sufficient to identify legal issues and provide advice and guidance to the organization, including but not limited to payor contracting, telemedicine, intellectual property, human subject or animal research, HIPAA, internal investigations, labor and employment, student performance or conduct issues and graduate medical education.
