Job Description
Reporting to Sr. Director, Managing Corporate Counsel and Assistant Secretary, the Corporate Counsel will have a leading role in the Company’s corporate legal matters. The role is based at our corporate office in Chicago, Illinois and requires regular in-person attendance in the office under our hybrid work environment.
Responsibilities:
- Provides legal support for various capital markets, M&A, and finance transactions;
- Partners closely with Finance and Investor Relations departments on financial reporting and disclosure matters;
- Provides other day-to-day legal advice and assistance to functional groups including, Treasury, Finance, Investor Relations, Corporate Development, IT and HR;
- Assists with administration of company’s compliance program, including drafting and review of corporate and local policies, development of training materials, and leading employee trainings;
- Conducts research on various topics as requested by the General Counsel and Managing Corporate Counsel;
- Providing support and advice on strategic initiatives; and
- Performs other tasks as requested by the General Counsel and Managing Corporate Counsel.
Qualifications:
- Juris Doctor degree from an accredited law school, along with good standing in Illinois (or ability to waive into Illinois bar);
- 5-7+ years of relevant legal experience, with a combination of both private law firm and in-house public company environments preferred;
- Excellent composition and editing skills, with experience preparing various M&A, commercial and finance agreements, as well as preparing SEC ’33 and ‘34 Act reports and filings and researching and applying SEC rules;
- Solid understanding and background in legal concepts applicable to public companies and to mining or similar heavy industries preferred;
- Strong ability to mitigate risks through practical application of legal principles that further business objectives;
- Impeccable attention to detail and ability to interpret complex data and reports; and
- Excellent interpersonal skills, with reliable responsiveness, accountability and follow-through.
