Corporate Counsel – Securities and Governance  
Purpose and Scope/General Summary: An hour north of Denver and ideally situated between Boulder, Fort Collins, and Greeley, JBS USA is one of the largest companies headquartered in Colorado. We are seeking a motivated and proactive attorney to join our legal team, with a focus on SECURITIES AND GOVERNANCE and the talent and adaptability to handle the wide variety of complex legal matters you’ll find at one of the world’s largest global food companies.  
In this role, you will draw upon your experience to ensure our public subsidiaries’ compliance with reporting and regulatory obligations, including NASDAQ listing rules, SOX certification and other processes, equity-related matters, debt financings, treasury transactions, audits, and corporate governance. You will work closely with executives and other team members at the highest levels of the organization, supporting and advising the board of directors and committees, and preparing for and assisting with shareholder meetings. You will frequently collaborate with finance, treasury, tax, accounting, internal audit, and other teams across the Company to support business goals and ensure compliance with legal requirements. Additionally, you will stretch your skillset by frequently assisting with matters ranging from commercial transactions to litigation management. 
Responsibilities:
  • Advise on corporate finance and securities law matters, including preparing and reviewing SEC filings
  • Provide oversight of corporate governance and entity management practices
  • Support capital markets transactions including debt offerings, credit agreements and other treasury-related matters
  • Work closely with internal and external auditors on corporate reporting
  • Monitor and analyze regulatory developments and best practices in SECURITIES AND corporate governance arenas and drive change and education within the Company
  • Transactional oversight, including leading mergers and acquisitions
  • Manage responses to governmental inquiries
  • Maintain up-to-date knowledge of relevant federal, state, and local laws
  • Assist with other legal matters including commercial contracts, litigation, and other issues as they arise
  • Provide clear legal advice and practical business-focused solutions while preserving and protecting the Company’s integrity and reputation
  • Other duties as assigned
 
Qualifications:
  • J.D. degree from an accredited U.S. law school with a strong academic record
  • Minimum 5 years of relevant experience
  • Combination of law firm and in-house experience preferred
  • Admission to a U.S. bar (Colorado preferred)
  • Excellent strategic and analytical skills, strong communication and presentation skills, and the ability to work well independently and on a team
  • Excellent judgment, particularly in determining the significance of legal matters in tandem with business objectives
  • Strong interpersonal skills, including diplomacy and flexibility, and the ability to interface effectively with personnel at all levels throughout the Company
  • Excellent written and verbal communication skills, with the ability to tailor communications to the specific intended audience in a way that is clear, concise, and persuasive
  • Ability to embody and project both confidence and humility
  • Can perform the functions of the job with or without a reasonable accommodation
  • As a salaried position with the company, you may be required to travel at some point to other facilities, to attend Company events, or as a representative of the Company in other situations. Unless otherwise specified in this posting, the amount of travel may vary and the most qualified candidate must be willing and able to travel as business needs dictate.
 
The applicant who fills this position will be eligible for the following compensation and benefits:
  • Benefits: Vision, Medical, and Dental coverage begin after 60 days of employment;
  • Paid Time Off: sick leave, vacation, and 6 company observed holidays;
  • 401(k): company match begins after the first year of service and follows the company vesting schedule;
  • Base salary range of $125,000 - $175,000; and
  • Incentive Pay: This position is eligible to participate in the Company’s annual bonus plan, the amount of bonus varies and is subject to the standard terms and conditions of the incentive program;
