The Corporate Counsel will focus and be responsible for contract management and review, with an emphasis on commercial contracts, IT procurement contracts, and other miscellaneous corporate contracts. The Corporate Counsel work closely with the Vice President & Associates General Counsel to manage contract templates, including updating and maintaining company and subsidiary template agreements; Corporate Counseling for company subsidiaries; and general support of the company's internal legal department.
Location: Indianapolis, Indiana; we are seeking candidates in the central Indiana region. Our Central (Corporate) Office is located on the northwest side of Indianapolis. We are currently working remotely.
In the future, position will be hybrid (a mix of remote & in-office). Hybrid schedule will be approximately 2 days in the office, 3 days remote.
ResponsibilitiesAAAAAAAAAAContract Management, Review, and Negotiation
Maintain legal responsibility for commercial transactions, including providing advice and support to business clients on a variety of legal and business issues.
Draft, review, and negotiate a wide variety of contracts to meet business and legal requirements, including IT agreements, customer agreements, vendor agreements, asset purchase agreements, and other miscellaneous corporate contracts.
Collaborate with IT, Sales, other departments, and Centurion Service Group and Centurion Direct to analyze and negotiate business and legal contract terms.
Lead conversations with Product, Operations, and other stakeholders to update and maintain template agreements in line with evolving business operations and product offerings
Management of Legal Responsibilities and Legal Education
Assist as needed with overall legal department responsibilities, including management of internal legal responses in accordance with agreed-upon response metrics.
Assist with legal education presentations to internal business partners and draft Legal corporate communications and playbooks.
All other duties as assigned.

Education and QualificationsJuris doctorate from an ABA accredited law school with accompanying state licensure.
Minimum of 4 years corporate law experience required.
Relevant experience in the areas of corporate and commercial law. IT and/or health law experience preferred.
