Job Overview:A Software Development Company is seeking a Corporate Counsel to provide legal support across various functions of the organization. The ideal candidate will have a strong background in contract review and negotiation, privacy and data protection rules. Reporting to the General Counsel, the Corporate Counsel will play a crucial role in helping to propel the business, promoting legal compliance, mitigating risks, and supporting the company's strategic objectives.
Responsibilities and Duties:
- Review, draft, and negotiate a wide range of commercial agreements, including software licensing agreements, SaaS agreements, vendor contracts, and partnership agreements.
- Provide legal guidance and support to various departments, including Sales, Marketing, Product Development, and Operations, to promote compliance with applicable laws and regulations.
- Assist in the development and implementation of corporate policies and procedures to mitigate legal risks and ensure compliance with industry standards and best practices.
- Conduct legal research and stay updated on relevant laws, regulations, and industry trends to advise the company on legal and regulatory matters affecting its business operations.
- Collaborate with external legal counsel on specialized legal matters, litigation, and other legal matters as needed.
- Assist in corporate governance matters, including entity formation, corporate restructuring, and maintenance of corporate records.
- Support the General Counsel and senior leadership team on special projects and initiatives as required.
Required Skills and Qualifications:
- Juris Doctor (JD) degree from an accredited law school and admission to the bar in the relevant jurisdiction.
- 2-4 years of experience practicing law, preferably both in a corporate legal department and also in a law firm environment.
- Strong knowledge of contract law, commercial transactions, and intellectual property law.
- Excellent drafting, negotiation, and communication skills with meticulous attention to detail.
- Ability to work independently and collaboratively in a fast-paced, dynamic environment.
- Strong analytical and problem-solving skills with the ability to think strategically and provide practical legal advice.
- Experience in the technology industry or with SaaS products is preferred but not required.
- High level of integrity, professionalism, and ethical conduct.
