About the Role:
TreeHouse Foods is seeking an experienced and highly skilled Corporate Counsel, Commercial to join our legal team. As the Corporate Counsel, Commercial, you will be responsible for providing expert legal advice and guidance on a wide range of commercial matters. You will play a crucial role in ensuring compliance with laws and regulations, negotiating and drafting complex commercial agreements, and managing legal risks associated with business operations. The ideal candidate will have a strong background in commercial law, exceptional analytical and problem-solving skills, and the ability to work collaboratively in an ever-changing environment. The position will report to the Vice President, Deputy General Counsel and is a remote hybrid role, located in Oak Brook, IL.
- Draft, review, and negotiate a variety of commercial agreements, such as sales contracts, licensing agreements, distribution agreements, and partnership agreements, ensuring compliance with legal requirements and protecting the organization's interests.
- Provide expert legal advice and guidance on commercial matters, including contract negotiations, mergers and acquisitions, and other legal issues affecting the organization.
- Ability to lead a negotiation, understanding how to balance key risks and opportunities to obtain a mutually acceptable contract in a way that will be most beneficial to the customer and the Company
- Conduct legal research and analysis to stay updated on relevant laws, regulations, and industry trends, and provide recommendations to management on potential legal risks and opportunities.
- Collaborate with internal stakeholders, including executives, sales teams, and other departments, to understand business objectives and provide legal support and solutions that align with organizational goals.
- Manage and oversee external legal counsel, ensuring effective communication, cost management, and quality of legal services provided.
- Develop and implement legal policies, procedures, and best practices to ensure compliance with applicable laws and regulations.
- Stay informed about changes in legislation and legal precedents that may impact the organization's operations, and proactively advise management on potential implications.
- Provide training and guidance to other legal staff and business partners, fostering their professional development and ensuring consistent best practices across the commercial organization.
About You:
You'll fit right in if you have:
- Juris Doctorate from an accredited law school
- Admission to a State Bar, and in good standing with the Bar association
- 8+ years' total experience supporting a sales team to draft and negotiate contracts
- Demonstrated negotiation skills
- Working knowledge and experience with commercial contract terms and conditions with particular emphasis on the protection of intellectual property, confidentiality and minimizing liabilities and risks
- Proven analytical and written verbal communication skills
- Self-starter who understands executing with urgency, and the ability to comfortably work in an intensely deadline-oriented environment. Accuracy and attention to detail are essential requirements for this position.
- Ability to communicate clearly, concisely and professionally with all levels of management regarding complex employment legal issues.
- High integrity and an unyielding commitment to compliance
- Prior in-house counsel preferred
- Previous food industry experience a plus
- Prior experience implementing a contracts management system preferred
