A Corporate & Transactions Law Firm is seeking a Corporate Attorney to join its nationally recognized boutique transportation and logistics practice. This opening is available in either the firm's Tampa Bay (downtown St. Petersburg) or Winter Haven, Florida locations. Our focused small firm handles complex and challenging matters and makes a real business impact across the country. Associates will work closely with attorneys who are industry insiders. We are looking for an attorney who has the capacity to learn quickly, take the ball, and run with it. An ideal candidate will have business and transactional experience in a regulated industry and has a range of contract drafting and business structuring experience, and is comfortable advising clients on strategic decisions, contract interpretation, demands for payment, and insurance claims. Essential Functions & Responsibilities:
- Review, draft, and negotiate sophisticated commercial contracts, including transportation agreements, warehousing agreements, vehicle and property leases, stock and asset purchase agreements, vendor agreements, financing arrangements, services agreements, and non-disclosure/non-compete agreements.
- Provide advice to clients regarding contract terms and implications on business operations.
- Research legal issues relating to a wide variety of business issues, including transportation law and regulations, secured transactions and financing arrangements, and dispute resolution, and provide analysis within client budgets and time constraints.
- Analyze and oversee insurance coverage issues and develop risk management strategies to transportation and related entities.
- Assist in due diligence for mergers, acquisitions, and sales of motor carrier, freight forwarder, broker, and warehouse entities.
- Draft, pursue, and respond to demand letters.
- Assist on employment and litigation matters, when needed.
- Manage high client volume and workload responsibly.
- Research, analyze, and apply law to business operations within complex regulatory frameworks.
- Support regulatory compliance audits and analyses.
- Respond to compliance audits and investigations relating to transportation law.
- Exercise a high level of professionalism, business judgment, and legal analytical skills.

Education:
JD from ABA accredited law school and admission to State of Florida Bar required (out of state attorneys considered if intending on taking the Florida Bar within 6 months of acceptance of an offer and relocate to Winter Haven or Tampa Bay area.).
