The Broad Institute of MIT & Harvard stands on the leading edge of biomedical research, with a mission to broadly disseminate discoveries and information to the scientific community and the general public. The Broad Institute Office of Strategic Alliances & Partnering (OSAP) strives to extend the impact of the Institute's research by creating partnerships for the public good while protecting its researchers' academic freedoms and generating financial resources to support future research.
The Contracts Manager, Platform Transactions role will work within OSAP's legal practice, the Platform Transactions Counsel group which specifically supports the Institute's Genomics Platforms, Data Sciences Platform, Center for Development of Therapeutics, and other externally facing research platforms with negotiating funded and unfunded research agreements, material transfer agreements, and confidentiality agreements, as well as service agreements and complex transactions and acting as a resource for internal client groups for general and specific issues relating to agreements. The Contracts Manager, Platform Transactions will be a key member of the legal function of OSAP and will support the Associate Director, Platform Transactions Counsel in contract and transactional matters.
This role can be performed as a hybrid opportunity.
PRINCIPAL DUTIES AND RESPONSIBILITIES
  • Drafting and negotiating Non-disclosure Agreements and standard forms of Material Transfer Agreements and other platform-specific non-negotiable agreements
  • Responding to inquiries regarding the status of legal documents.
  • Working with the Associate Director, Platform Transactions Counsel to prepare various agreements and amendments; assessing the needs of supported platforms at Broad; prioritizing deadlines across multiple platforms; and communicating in a clear and timely manner with internal and external stakeholders.
  • Working within the contracts management database (Converge), including (1) updating existing records with final documentation and key information, including personnel, term, and expiration dates; (2) processing agreements through execution (i.e obtaining signatures, filling in routine information missing from agreements); and (3) logging relevant correspondence into agreement records.
  • Educating internal client groups on Converge and the contracting process
  • Management of individual workload, including tracking, following up and reporting on the status of projects.
  • Preparing reports related to various contract metrics; designing custom reports for future rollout.
  • Work proactively with Broad administration and scientists to make the negotiation process user-friendly by providing transparency and highlighting potential roadblocks.
  • Assist with special projects as needed.

MINIMUM QUALIFICATIONS
  • Bachelor's degree; J.D. or paralegal certificate, a plus.
  • 3-5 years related experience preparing and negotiating basic research contracts, including CDAs and MTAs.
  • Track record of producing high-quality work in a dynamic, fast-paced work environment with frequent deliverables.
  • Excellent organizational skills.
  • Strong interpersonal, communication, collaboration, and administrative skills.
  • Ability and willingness to learn and maximize the effectiveness of new software tools, with proficiency with Google Suite, PowerPoint, Word, and Excel.
  • Ability and willingness to perform data entry tasks efficiently on tight timelines.
  • Ability to work independently and proactively with minimal supervision and manage projects with multiple stakeholders.
  • Ability to work with colleagues at all levels.
  • Meticulous attention to detail.
  • Comfortable juggling and building relationships with multiple stakeholders at varying levels; and discretion and sound judgment with confidential information.
  • Must be able to set priorities, juggle multiple activities simultaneously, and meet tight deadlines; work under pressure and with frequent interruptions; and adjust easily to shifting priorities.
  • Background in a life sciences organization or academic tech transfer/research administration group, interest in biomedical science, and experience with intellectual property administration, including knowledge of academic and/or non-profit research and intellectual property principles, a plus.
