What part will you play?

• GAF Energy is seeking a Commercial Counsel who will be responsible for providing business-minded legal counsel across functions within GAF Energy.
• This person will be responsible for identifying and analyzing legal issues, negotiating and drafting contracts and other business documents, counseling and presenting clear recommendations, and ensuring compliance with applicable laws and regulations.
• This exciting role will report to the Vice President of Legal & Business Affairs at GAF Energy and work within Standard Industries' global legal department, which currently consists of over 20 attorneys in North America practicing in various specialties.

What will you do?

• Reviewing, negotiating, and drafting all types of commercial contracts including: supply agreements, manufacturing agreements, vendor agreements, services agreements, sales terms and conditions, and NDAs.
• Establishing new forms and improving upon existing forms of commercial terms and agreements to support business initiatives.
• Providing advice to functional leaders and stakeholders on the interpretation of contracts, laws, and regulations.
• Reviewing marketing and promotional materials.
• Coordinating with other legal experts in specialized areas as necessary such as intellectual property, compliance, and tax.

What do we require from you?

• A minimum of 5 years experience with a major law firm. In-house legal experience is a plus.
• J.D. with solid academic credentials.
• Member in good standing of the New Jersey state bar or any state bar that would enable admission to practice as in-house counsel in New Jersey.
• Experience handling complex commercial transactions and ordinary course contracts.
• Fluency with the standard practices, concepts and procedures of contracts and general business and corporate law.
• Plain speaking, common sense approach to rendering advice and working with others to meet goals and objectives.
• Ability to clearly and accurately identify legal issues, place them in business context and communicate actionable legal counsel to business stakeholders.
• Proven self-starter, results-oriented and high-energy team player, with an ability and desire to learn.
• Demonstrated ability to seek and process multiple stakeholder input, while meeting deadlines.
• Ability to organize and prioritize tasks, as well as comfort in adapting to changing situations.
