As an Associate General Counsel you will report to Deputy General Counsel responsible for Domestic Sales, marketing, regulatory, and government affairs. Ou will be responsible for numerous diverse legal activities of the Company with a focus on the spirits category and generally including relations with distributors as needed, compliance with marketing and sales regulations, and analysis of proposed legislative and regulatory changes to alcoholic beverage regulation. You will provide advice directly to all levels of management, including executive management.
This position will be based in Modesto, CA with an option for occasional telecommuting. You will be expected to live within a commutable distance.
What You Will Do:
- Maintains familiarity with domestic laws and regulations governing all aspects of the alcoholic beverage business, including licensing, packaging, distribution, marketing and sales to provide effective counsel to business personnel and support Company Regulatory and Compliance personnel in these areas.
- Drafts, reviews, and advises on domestic distribution agreements as needed and commercial contracts with advertising agencies, promotional partners, vendors, other alcohol beverage industry members, and other general contracts as required.
- Provides general advice on relationships with distributors, including handling disputes with distributors.
- Develops, revises, and conducts legal training programs for Company business personnel in areas of responsibility.
- Manages Company response to governmental regulatory inquiries and investigations in area of responsibility.
- Consults with, supervises, or manages outside counsel as appropriate in areas of responsibility.
- Supports acquisitions, including detailed reviews of licensing, contracts and compliance practices.
- Provides review and analysis of proposed changes in Federal and State laws and regulations concerning alcoholic beverages.
- Provides leadership, support, and direction for legal staff.
- Responsible for understanding and complying with applicable quality, environmental and safety regulatory considerations. If accountable for the work of others, responsible ensuring their understanding and compliance.

What You Will Need:
- A Juris Doctorate plus 10 years of experience as a lawyer, to include general business and transactional practice, complex contracts and litigation experience reflecting increasing levels of responsibility.
- California State Bar member.
- Bachelor’s Degree.
- Demonstrated strong analytical and critical thinking skills and business acumen.
- Demonstrated flexibility and success working in a fast-paced, change oriented environment.
- Excellent verbal and written communication skills, with the ability to lead as well as collaborate and function well in a team environment.
- Skilled at effectively organizing time to meet multiple deadlines.
- Demonstrated interpersonal skills with the ability to lead, as well as collaborate and function well in a team environment and to maintain a strong relationship with Supervisor, General Counsel, Company Management and outside service providers.
- Required to travel when necessary.
- Required to travel to company offices, sites, and/or meeting locations for onboarding, training, meetings, and events for development, department needs, and business delivery up to 5% of the time, with or without reasonable accommodation. This may be in addition to travel requirements, if applicable, as listed in this job description.
- Required to be 18 years or older. This may be in addition to other age requirements, if applicable, as listed in this job description.
What Will Set You Apart:
- A Juris Doctorate plus 15 years of experience as a lawyer with in-house counsel experience, to include general business and transactional practice, complex contracts and litigation experience reflecting increasing levels of responsibility.
- Strong academic record in law school, preferably from leading law school.
- Excellent oral and written communication skills.
- Excellent organizational skills.
- Willing to relocate primary residence to East Bay or Modesto area.
- Ability to provide hands-on counsel to all levels of management, including executive management.
- Ability to identify and analyze legal issues, draft key documents, present clear recommendations, and guide legal compliance.
- Strong interpersonal and communication skills with the ability to lead as well as collaborate and function well in a team environment.
- Self-motivated and efficient, with good business judgment. Forward-thinking and creative, with the confidence to present and advocate for the implementation of ideas.
- Basic knowledge of alcohol and beverage regulatory laws with experience in the Distilled Spirits Category. Must be open to expanding knowledge and experience into new areas of law.

Compensation:
- Hiring Salary Range Posted: $272,295 - $454,875 + 20% performance bonus potential
- Actual compensation paid within the range will be determined by factors such as the education, experience, knowledge, skills and abilities of the applicant, internal equity, and alignment with market data.
