Reporting to the Company's SVP, Deputy General Counsel (Corporate), the Assistant General Counsel, Corporate, Securities & Finance serves as the Company's principal legal counsel with respect to securities, corporate finance and other general corporate matters. The role also provides legal and corporate secretarial support to the Company's Board of Directors and Committees.
This is a highly visible role in a fast-paced, professional and collaborative organization. The ideal candidate will be comfortable interacting regularly with executive management and the Board of Directors and working across the Company to achieve results and advance the Company's strategic priorities. This role may be located in Chicago, IL or New York, NY.
Key Responsibilities
Securities Disclosure
- Provide legal support and advice on public disclosure and similar matters
- Review investor communications, including quarterly earnings materials
- Draft / review all '34 Act filings, including periodic and current reports
- Assist in preparation of the Company's proxy statement
- Oversee compliance with Section 16 requirements
- Identify, analyze and report on legal and market practice developments in the areas of securities, corporate finance and governance
- Supervise paralegal in furtherance of these responsibilities
Corporate Finance & Other Transactions
- Lead all corporate finance activity, including public and private securities offerings (both debt and equity), liability management transactions and bank financings
- Advise senior management on interpretation of financing documents
- With others in the legal department, provide legal support for mergers, acquisitions and portfolio-level financings
Corporate Governance
- Act as assistant corporate secretary to the Board of Directors and certain of its committees
- Prepare, review and distribute Board / Committee agendas and meeting materials
- Prepare, review and distribute D&O questionnaires and new director materials
- Participate in negotiations with shareholder proponents and investor outreach
General Corporate & Other Matters
- Review press releases and other external communications
- Draft policies and develop processes related to securities, corporate finance and governance
- Assist in supporting the Annual Meeting of Stockholders
- Assist with other corporate law matters as they arise
- 5+ years of relevant and significant experience, principally obtained at a top tier law firm

Compensation
The compensation available for the role considers a variety of factors including, but not limited to, location of the role and the individual skill set and previous experience of the candidate. The estimated base salary range for the role, assuming that it is based in New York City, is $250,000 to $300,000. Base salary is one part of the total rewards that Ventas provides to employees and does not capture the expected annual or long-term incentive compensation opportunity. This base salary range represents our good faith and reasonable estimate at the time of posting.
