Taconic Biosciences is seeking an Assistant General Counsel to join our dedicated legal team in this hybrid position. This position is primarily remote with ad hoc needs to visit our sites (<10%). Ideal candidates will be based in the continental U.S. and have eastern time working hours.
The Pay Range: $200,000 - $220,000. Exact compensation may vary based on several factors. These factors include, but are not limited to, geographic location, experience, training, education, and local market conditions, with this the upper end of the range is not always likely to be offered.

Taconic is looking for a dynamic individual to develop and execute an intellectual property program to identify and capture company innovations, and to augment the legal teams’ support for contracts on existing products and services, distribution relationships and licensing. Ability to engage with bench scientists and research application specialists is a must. This strategic role creates value in our organization through identification of innovations and the preparation and prosecution of patents on such innovations. Ideal candidate is a Registered Patent Attorney with a background in biological sciences, and an understanding of genetic engineering and genetics, immunology, or oncology, and having experience in contracts and licensing. Reporting to the General Counsel, you will focus on creating and executing an intellectual property program, evaluating internal product development and scientific processes for patentability and freedom to operate, evaluating third party patents for licensing, supporting license negotiations, supporting the preparation and negotiation of corporate agreements with collaboration partners, supporting M&A and supporting customer contracts on existing products and services. Duties of the Assistant General Counsel include the following:
- Establishing and maintaining an intellectual property program
- Review and assess scientific proposals for patentability, prioritize opportunities, and articulate them across organizational stakeholders
- Engage with scientists to understand developing products and services and to assess potentially patentable aspects of these new developments and document innovations
- Perform freedom to operate searching, review, and analysis
- Draft and prosecute patent applications
- Engage and manage external counsel
- Drafting, negotiation, and support for transactional and licensing agreements
- Draft, develop, and review legal documents such as confidentiality non-disclosure agreements, master products/services agreements, material transfer agreements, breeding agreements, vendor agreements, distribution agreements, partnership agreements, technology license agreements, etc.
- Interface with internal and external stakeholders for successful conclusion of transactional and licensing agreements
- Engage and manage external counsel with respect to trademark filings and review and advise on marketing and scientific publications with respect to copyright and trademark usage
- Juris Doctor (JD) degree from an accredited law school
- Registered Patent Attorney in good standing with the US Patent and Trademark Office
- Bachelor of Science or higher degree in the field of biological sciences or equivalent background in biological sciences
- Admission to the Bar (in any US State)
- Supervisory or middle management experience
- 5+ years relevant experience and/or training
- 5+ years of experience in:
- Patent drafting and prosecution
- Patentability analysis and patent portfolio strategy
- Freedom to operate searching, analysis, and advice
- Advising stakeholders and leadership on potential inventions and scope of patentable subject matter
- Preparation, negotiation, and management of transactional documents, and correspondence with customers and customer’s legal counsel
- Supervision of external counsel
- Additional capabilities:
- Must have solid communications skills, be able to express ideas clearly and with confidence, provide informed opinions and explain legal options
- Partner with scientists to identify and assess new inventions
- Clear communicator, approachable, skilled in legal research, writing, and analysis, bias for action, accountability, collaborative working style, adaptability to shifting demands, level-headed and composed
- Occasional travel, generally 2-5 trips per year.
