Jackson Companies Senior Corporate Attorney is primarily responsible for the transactional work of the Jacksons Companies Real Estate Department but is also responsible for the Jacksons Companies non-real estate contracts and agreements, and for providing management with legal advice on company matters non-real estate related. The ideal candidate will possess real estate and non-real estate transactional and contract expertise but will also bring expertise in general corporate law. The ideal candidate will have a strong understanding of corporate governance, contract negotiation, and regulatory compliance.
This position will be based out of Jacksons Store Support Center in Meridian, ID.
What you will do as the Senior Corporate Counsel/Attorney at Jacksons:

  • Prepare and negotiate real estate transactional agreements and contracts to include, purchase and sale agreements for the purchase of real estate, businesses and/or the assets of businesses, joint venture agreements, operating agreements, common area maintenance agreements, declarations, cross access agreements, leases, loan/security documents and other non-real estate documents and agreements such as, vendor contracts and supply agreements.
  • Perform economic feasibility, financial analysis, due diligence, to include in depth title review.
  • Manage and track open escrows, tax free exchange property nominations/closings, prepare closing documents and execute closings.
  • Administer real estate portfolio to include lease administration, option exercises, terminations, cam reconciliations, landlord and tenant defaults, and amendments.
  • Work in coordination with Company senior management to oversee the selection, retention, management, and evaluation of outside counsel.
  • Negotiate with and appear before public agencies such as City Council and Planning and Zoning to advance company interests and keep abreast of legislative changes that may affect the company and its affiliates.
  • Evaluate and make recommendations on condemnation actions.
  • Develop solutions to complex legal questions.
  • General corporate secretarial work to include minutes, resolutions, and corporate records.
  • Provide legal support for various corporate transactions, including mergers and acquisitions, joint ventures, partnerships, and the formation of entities.
  • Draft and review legal contracts, agreements, and other legal documents related to corporate activities.
  • Provide oversight and recommendations on business related insurance claims and litigation.
  • Lead negotiations and provide legal guidance on a wide range of corporate contracts.
  • Collaborate with internal stakeholders to align legal agreements with business objectives.
  • Interpret legal documents and advise on business terms, legal risk, and compliance.
  • Advise senior management on Company legal strategy in all business-related matters.
  • Manage various projects and deadlines.
  • Lead and oversee legal aspects of real estate transactions, including acquisitions, dispositions, and leasing agreements.

You will be a great fit if you have:
  • A Juris doctorate degree from accredited law school and in good standing with the Bar Association.
  • 7+ years of corporate, real estate transactional work and contract negotiations, including knowledge of corporate law, business law, real estate laws and regulations and finance.
  • Knowledge of franchise law or Petroleum Marketing Practices Act a plus.
  • Proficiency in real estate financial analysis, discounted cash flows and analysis of real market data.
  • Working knowledge of real estate investment principles.
  • Solid business acumen and knowledge of finance.
  • Substantial experience documenting and managing transactions, evaluating economic feasibility, due diligence and performing closings with minimal oversight.
  • Significant experience with negotiating transaction documents, operating agreements, lease documents, dealer site agreements, and handling multiple deals, documents, transactions, and other matters at any given time.
  • Experience in and knowledge of risk management and evaluation.
  • Proficient or expert in Word, Excel, and other internal computer programs. Knowledge of Yardi/One Site and advanced Excel functions a plus.
  • Ability to manage multiple projects in a fast-paced, deadline driven, hands-on environment with little administrative support.
  • Excellent planning and organizational skills.
  • Superior written and verbal communication skills.
  • An ability to independently manage multiple tasks simultaneously.
  • A pattern of effectively managing unexpected issues or obstacles that may arise.
  • Substantial experience influencing others outside of his/her immediate space.
  • Professional demeanor and a history of being a team player with a high degree of confidentiality.

  • Upon occasion, will be required to bend, stoop, kneel, and lift weights up to 35 pounds.
