EquipmentShare is searching for a Securities Counsel for our corporate office in Columbia, MO, to support our Legal team as the department continues to grow. This position can be remote in the United States.

Primary Responsibilities

  • Draft, review and revise legal documents including stock transfer agreements, contracts, policies, and procedures
  • Prepare contracts and agreements governing equity-based compensation
  • Assist in the preparation and review of any SEC filings
  • Advise on investor relations matters
  • Support private and public capital markets transactions
  • Prepare Board resolutions, shareholder consents, waivers and related materials
  • Conduct and coordinate legal research with a focus on state and federal securities laws, and research involving corporate governance matters, with an emphasis on Delaware law 
  • Coordinate shareholder meetings
  • Prepare legal memoranda, summaries, charts, and other deliverables 
  • Work on multiple, time-sensitive projects in a fast-paced environment
  • Advise internal business clients on strategies to address client needs
  • Assist the Legal Department's efforts in the creation, implementation and refinement of forms, processes, policies and procedures to create efficiencies and cost savings
  • Anticipate, propose, and drive solutions for a range of legal and business issues

About You

Skills & Qualifications 

  • Requires J.D. from an accredited law school
  • Active attorney license in good standing and admission to the bar in state where reside 
  • At least 6 years of substantive legal experience, preferably 3+ years in-house
  • Experience with SEC reporting and securities law compliance; ideally experience dealing with the SEC and state securities regulators 
  • Experience with IPO process and preparation
  • Proactive work ethic demonstrating initiative 
  • Experience with and understanding of documents governing equity-based financing and investor rights
  • Ability to read and understand financial data
  • Strong corporate governance skills 
  • Familiarity with and understanding of equity-based compensation
  • Familiarity with SEC Edgar databases
  • Experience with M&A transactions preferred
  • Highly proficient computer skills, including ability to learn and use proprietary computer systems and databases
  • Ability to multi-task within a fast-paced work environment with very detailed information and maintain a high degree of accuracy
  • Ability to organize, coordinate, manage self and time effectively, prioritize projects, and meet deadlines
  • Experience drafting policies, procedures, memoranda
  • Ability to communicate effectively, professionally, and persuasively with employees, managers, and the public, both verbally and in writing
  • Self-directed and able to learn and work effectively both independently and in a team environment
  • Adaptable to growth and changes in organization, role, and systems
  • Preference to candidates located in or willing to relocate to Columbia, MO, however, remote-based candidates will be considered.
