The Senior Counsel, Ethics & Legal Compliance, provides practical, business-focused advice to enable business and corporate executives to achieve their business objectives in a manner consistent with relevant laws and SPE policies. The Senior Counsel provides antitrust and competition advice and counseling for global operations. The Senior Counsel supports all other aspects of the company's ethics and Legal Compliance objectives, including advice, client education and counseling in the areas of anti-bribery, economic sanctions compliance, and SPE's code of conduct. The Senior Counsel must possess the interpersonal skills to engage successfully with all levels of the organization. The role requires consistent growth and high-quality execution from a process-driven professional who actively prioritizes integrity, business enablement, and continual process improvement.
Job Responsibilities:

• Provide Antitrust and Competition Advice and Counseling for Global Operations: Provides global antitrust advice and counseling, including but not limited to substantively handling and project managing antitrust merger notifications, investigations, litigation, and regulatory matters, including competition authority requests for information; conducts due diligence in connection with merger and acquisition activity.
• Support and Deliver Ethics & Legal Compliance Trainings for Global Operations: Oversee adherence to required training protocol on Legal Compliance matters, including but not limited to training on applicable Antitrust, Code of Conduct, Anti-Bribery, and Economic Sanctions policies and/or laws. Develop online training programs. Coordinate with regional and HQ compliance offices on development of training materials. Develop and conduct in-person trainings in high-risk territories, or as otherwise needed.
• Provide Anti-Bribery, Economic Sanctions, and Third-Party Engagement Advice and Counseling for Global Operations:
  Provide legal advice to global business and corporate teams concerning SPE's policies, including SPE's Anti-Bribery Policy and Third-Party Engagement Policy, to support business enablement and compliance with U.S. and international laws; conduct merger and acquisition due diligence reviews and oversee economic sanctions compliance and third-party risk management under SPE's policies. Provide legal advice regarding and coordinate internal and external investigations.
• Provide Code of Conduct Advice and Counseling for Global Operations: Provide counsel to global corporate and business teams concerning SPE's Code of Conduct, including but not limited to SPE's policies regarding conflicts of interest, related parties, and gifts and entertainment.
• Maintain Awareness of Legal Developments and Best Practices:
  Keep abreast of regional developments and best practices in the area of ethics and Legal Compliance that could impact SPE's business operations; advise personnel accordingly, based on identified changes and challenges presented.

Job Requirements:

• Juris Doctor from a top law school
• 4-6 of years antitrust experience
• Strong preference for relevant antitrust, compliance, white collar, internal investigations, and/or litigation experience
• Strong preference for in-house antitrust and compliance program experience at a global company, as well as prior experience at a top law firm and/or federal agencies

Substantive knowledge of:

• US antitrust laws and non-US competition laws, including HSR and other merger notification requirements;
• The Foreign Corrupt Practices Act, as well as a strong understanding of similar foreign laws.
• Best practices in compliance space; including familiarity with DOJ Resource Guide, US Sentencing Guidelines, etc.
• Experience with e-discovery as well as vendor and outside counsel management is also a plus.

• Verbal and interpersonal communications, including a strong presentation skill set for audiences of varying size and experience with legal issues

The anticipated base salary for this position is $159,300-$235,300. This role may also qualify for annual incentive and/or comprehensive benefits. The actual base salary offered will depend on a variety of factors, including without limitation, the qualifications of the individual applicant for the position, years of relevant experience, level of education attained, certifications or other professional licenses held, and if applicable, the location of the position.
