Job Summary and Qualifications

Position Summary:

Provides increasingly complex, substantive business, technical, and legal review, including analysis and interpretation of Information Technology Group’s (ITG) contracts including, but not limited to, order forms, statements of work, amendments, evaluation agreements, non-disclosure agreements (NDA), business associate agreements (BAA), and governing agreements in support of operations and strategic initiatives of the HCA enterprise.

Major Responsibilities:

This role will be required to utilize the Contract Management System (CMS) to facilitate and execute the ITG contract process as well as perform ongoing CMS maintenance to ensure data integrity.

This position involves an emphasis on complex contracts and requires subject matter expertise in the areas of contracting and negotiation with a focus on healthcare information technology subject matter including, but not limited to, professional services, various software licensing methods (on-premise and cloud offerings (Software as a Service, Platform as a Service, and Infrastructure as a Service)), diverse regulatory policies including HIPAA, consumer protection, Stark Law, and GDPR, and information security practices.

This position requires keeping up with current technology trends and naming conventions for technology in general and within the health care industry.

This position supports the HCA enterprise, including all ITG business units, and reports to the Contract Manager.

This position works closely with Technology Law Group, Directors, Business Owners, Solution Leaders, Project Managers, Financial Analysts, Strategic Sourcing, Vice Presidents and CIOs, and other Executive Management.

This position also represents ITG in direct interactions with non-ITG stakeholders, including affiliates such as our group purchasing organization, other HCA enterprise business units and departments, outside counsel, and vendor representatives.

This role requires the ability to recognize if / when data is being shared outside of the enterprise, the type of data, and how that data will be utilized.

This position requires superior judgment, high ethical standards, a strong attention to detail, and effective written and verbal communication skills. Must have the ability to work effectively and efficiently on multiple tasks in parallel, while meeting deadlines and maintaining high quality standards. Exceptional knowledge and understanding of IT contracting methodologies is required. Must be comfortable with Microsoft Office products and able to learn and utilize new technology resources as required.

Daily Activities Include, but Not Limited To:

Review and analysis of in-process ITG agreements and preparation of redlines incorporating business, technical, legal, and SME feedback. Facilitate internal discussions with relevant ITG stakeholders regarding proposed contracting terms and escalate for heightened review as appropriate under ITG contracting standards.

Serving as a subject matter expert in the areas of ITG contracting practices and negotiation to serve as an escalation step and provide cross training for less senior members of ITG Contracts group. Further escalate for heightened review as appropriate under ITG contracting standards. 

Substantive analysis and interpretation of active ITG agreements as required by the organization.  

Serving in a leadership capacity with respect to special contracting projects as assigned (e. g. required regulatory updates, training classes, contract process improvement initiatives).  

Deciding whether to escalate a document or issue for secondary and/or legal review, determine correct contract family mapping, and follow all ITG and HCA practices and policies. Such decisions may have operational impact in terms of compliance with internal policies.

Education & Experience:

Bachelor's degree required 

7+ years of experience in contract review, processing, and negotiation required 

Or equivalent combination of education and/or experience
