Duties and Accountabilities

• Advise leading international and domestic corporate clients on the impacts of Mergers & Acquisitions (M&A) transactions with a particular focus in cross-border acquisitions and divestitures and public company acquisitions.
• Oversee complex legal research, draft legal memoranda, and search for judicature commentaries addressing specific legal issues related to M&A, private equity investments, start-ups, joint ventures and corporate governance matters in various industries, with a particular focus on the energy and infrastructure industries.
• Lead the drafting, review and negotiation of complex large-capital (over $1 billion) and mid-capital (over $100 million) M&A transaction agreements (equity holder arrangements and documentation relating to management incentive arrangements in connection with private equity investments.
• Lead the drafting and review of filings with the U.S. Securities and Exchange Commission of applicable forms and schedules in connection with M&A transactions, including proxy statements, information statements, Form 8-K, and Form S-4.
• Coordinate legal work streams and resolution of regulatory and contractual issues in connection with M&A deal closings and post-closing synergies.
• Participate in legal due diligence and agreement analyses.
• Assist clients with corporate establishment, registration, transformation, governance, and liquidation.
• Direct the analysis of businesses' corporate health prior to their acquisition by clients.
• Interface with domestic and foreign authorities in connection with M&A transactions and corporate restructurings.
• Assist foreign clients with completing paperwork related to U.S. private and public M&A matters.
• Review the work product of Junior Associates and delegate tasks to and coordinate matter work amongst Junior Associates and across the Legal Assistant, Practice Assistant, and Legal Specialist teams.
• Act on behalf of the matter Partners in client-facing communications, including meetings, telephone, and email correspondence, to navigate and resolve complexities and address time-sensitive issues and required follow-ups.
• Salary Range: $390,000 - $435,000/year

Qualifications

• LL.M., J.D., or U.S. equivalent in law plus 6 years of professional experience as an Attorney, Associate, Law Clerk or related occupation/position/job title involving representing corporate clients in connection with cross-border Mergers & acquisitions at an international law firm.
• Must also have experience with the following special skills: 6 years of professional experience at an international law firm representing corporate clients in connection with cross-border mergers and acquisitions; 6 years of professional experience drafting, reviewing, and negotiating corporate legal documentation, analyzing the corporate health of businesses prior to their acquisition by clients and communicating with domestic and foreign authorities; 6 years of professional experience assisting clients with corporate establishment, registration, transformation and governance; 4 years of professional experience representing and advising clients in corporate restructurings, leveraged buyouts, asset sales, private equity investments and corporate governance matters; 4 years of professional experience with reviewing, analyzing and preparing merger agreements, securities purchase agreements, partnership agreements, stockholders' agreements, limited liability company operating agreements, rollover agreements and management incentive equity arrangements, in each case, in connection with capital domestic and cross-border mergers and acquisitions transactions; 4 years of professional experience coordinating with the firm's clients and their financial advisors in connection therewith, and coordinating the collection of information for, and submission of, antitrust filings (including filings under the Hart-Scott Rodino Act) and foreign direct investment (including CFIUS) filings in connection with M&A transactions; and 2 years of experience supervising junior attorneys.
• Must be admitted to the New York State Bar.

Location and Reporting

• Telecommuting may be permitted up to 2 days per week. When not telecommuting, must report to White & Case, 1221 Ave of the Americas, New York, NY 10020.
