Job Description
- Prepares and reviews legal documents including stock certificates, shareholder agreements, articles, lease agreements, asset purchase agreements, stock purchase agreements and other transaction documents.
- Prepares, monitors and completes checklists for banks, purchases, and sale closing transactions.
- Prepares and files documentation including state tax registrations and IRS forms.
- Prepares UCC filings and reviews and analyzes UCC and other searches.
- Researches and prepares documentation for the formation and maintenance of corporations, partnerships and limited liability companies.
- Prepares and tracks paperwork for mergers, acquisitions, dissolutions, amendments, withdrawals, operating agreements, shareholder agreements, unanimous written consents, and corporate resolutions.
- Compiles necessary data and prepares audit letters.
- Orders, reviews, and addresses exceptions to preliminary title reports and searches.
- Orders, researches, and reviews survey maps, legal descriptions, recorded easements, recorded declarations and restrictions, recorded vested deeds, recorded liens, business searches, title insurance fees, and recording fees for each County and State.
- Coordinates and reviews rundowns for construction loans.
- Prepares closing adjustments, statements, and checks.
- Prepares quit claim, warranty, executor?s, and bargain and sale deed packages.
- Maintains and organizes minute books.
- Prepares closing binders and CDs for bank closing transactions.
- Follows up with all post-closing requirements and curatives.
- Maintains client file and assist with closing file upon case completion.
- Assists with maintaining time entries and records on matters.
- Assists the accounting department in quarterly trust account audits.
- Follows billable hour policies, procedures, and goals.

Hourly Pay Range: $26.00 - $30.00
