About the role:We are looking for a Legal Counsel, Commercial, to help drive A Technology Company's next phase of growth! Reporting to the Associate General Counsel, Commercial, you'll be a key partner for other teams at A Technology Company and responsible for reviewing, negotiating, and advising on contracts with customers, vendors, and partners. You'll be an integral part of the Legal team as we strive to provide exceptional and efficient strategic legal and business advice. Our team goal is to enable A Technology Company to help our customers succeed while limiting A Technology Company's material legal risks. What You'll Do:
- Review, revise, and negotiate all types of sales, partnership, and procurement agreements
- Provide commercial legal advice to sales, partnership, and procurement teams
- Negotiate and draft agreements, amendments, NDAs and other legal documents
- Ensure compliance with relevant company policies
- Work closely with deals desk to build processes and tools for negotiating sales agreements at scale
- Help build new processes to improve our team's and A Technology Company's efficiency
- Drive consistency across deals by helping to optimize, streamline, and standardize contractual language
- Provide ad-hoc legal advice where needed
- Assist in building playbooks and pre-approved terms for our deals desk
- Help organize and create legal training for our A Technology Company colleagues
What You'll Need:
- A juris doctor (J.D.) degree from an ABA accredited law school
- 3-5 years of professional experience as an attorney (this is a junior counsel role)
- Licensed in any U.S. state but eligible to practice in NY or CA
- Exceptional communication skills, written and verbal
- Prior experience negotiating technology/SaaS agreements, NDAs, and data processing agreements
- Excellent project management instincts
- You have a “get things done” mentality; you can dissect problems, identify solutions, and drive these solutions to completion with a high degree of autonomy
- You are a true team player with a track record of successful cross-functional collaboration
Nice to haves:
- Graduated from a top-ranked law school or have demonstrated academic excellence
- Working knowledge of Ironclad, Google Workspace, and Microsoft Word
- Prior experience in high-growth startups and/or high-growth technology companies
- Prior experience working with sales teams
- Prior experience working with Fortune 1000 companies as customers and/or vendors
