Legal Analyst/Paralegal

NAV Fund Administration Group is seeking a Legal Analyst/Paralegal to the company’s legal department.

The Opportunity:
If you are reading this, we could guess two things about you:  you love reviewing and improving business documents and you are an expert on the details.  As our Legal Analyst/Paralegal, you will handle the review, drafting, and redlining of client service agreements, non-disclosures and other contracts.


On a Given Day, You Will:

  • Review proposed modifications to client service agreements, non-disclosures agreements, and vendor and other contracts.
  • Field and respond to questions from internal and external stakeholders regarding contract terms.
  • Respond to proposed modifications by revising and redlining, using a library of pre-approved provisions and comments, and effectively communicate rationale for edits via email and teleconference.
  • Prepare a variety of policies and procedures for the company and its international affiliates, including regulatory licensing, data privacy, anti-money laundering, and data retention.
  • Prepare documentation for establishing and licensing new business entities in new jurisdictions.

  • Maintain effective and supportive communication with internal stakeholders in the business development, marketing, and operations departments.


Here Is How You Can Stand Out:

  • Coordinate with corporate service provides in foreign jurisdictions to ensure compliance with corporate formalities.
  • Prepare corporate documents, including board resolutions, meeting agendas and minutes.


Required Qualifications:

  • Bachelor’s degree or equivalent experience.
  • 3+ years of substantial transactional experience reviewing, drafting, revising, and redlining service agreements, master services agreements, or similar complex contracts.
  • Proven experience multi-tasking and pivoting when required.
  • Demonstrated experience focusing on the details and accuracy in work product.
  • Experience working independently and demonstrated follow through on tasks and projects with limited supervision.
  • Must have an excellent record of dependability, availability, attendance and punctuality.
  • Must be willing to work in Oakbrook Terrace, IL office 3 days/week, 8 am to 5 pm.

 

Preferred Qualifications:

  • Good working knowledge of common commercial agreements, clauses and contracting practices.
  • A paralegal degree or certificate, or advanced degree in law.
  • Prior work in the financial services industry, preferably a fund administrator or hedge fund.
  • Basic knowledge of fund accounting and registrar and transfer agency services.
