Position Summary
We are seeking a qualified and experienced Legal professional to advise certain lines of business for Greenhill & Co., Inc's (the 'firm') U.S. broker-dealer entity (Greenhill & Co., LLC) and to assist the General Counsel in supporting certain of the firm's other broker dealer entities (the result of a 'centralized' operations model). The individual would be based at the firm's principal place of business in Manhattan, New York, and be required to be physically present in the office at least 3 days a week.
Certain responsibilities are outlined below and serve as illustrative examples of the professional's tasks. There will also be an opportunity to gain additional knowledge, skills and experience by working with other lines of business at both Greenhill and Mizuho, on special projects on an ad hoc basis, and with other members of the joint Greenhill Mizuho enterprise.
Similar to other professionals in the Corporate Function, the ideal candidate should be responsive, proactive, hands-on (willing to roll up sleeves), an excellent communicator and consensus builder, be able to operate in a small and lean environment with strong organizational skills. We will consider candidates who have experience in the following areas: Chapter 11/Restructuring, Structured Finance, M&A, and Litigation.

The expected base salary range is up to $200,000.00. Salary offers are based on a wide range of factors including relevant skills, training, experience, education, and, where applicable, certifications and licenses obtained. Market and organizational factors are also considered. In addition to salary and a generous employee benefits package, successful candidates are eligible to receive a discretionary bonus.

Key Responsibilities:
- Review and negotiate confidentiality agreements as part of the conflicts process
- Review and negotiate engagement letters as part of the transaction process and client onboarding
- For RX matters participate in court hearings, on transaction calls and provide other similar transaction support to the deal team(s)
- For M&A matters participate in the Fairness Opinion process, support the drafting of the opinion letter and attend to related ancillary matters (e.g., draft the Conflict of Interest disclosure memo)
- Assist the General Counsel in providing training to personnel on a regular basis on relevant topics
- Monitor regulatory changes for likely impact to the firm and the relevant business line
Skills and Requirements:
- New York Bar qualified
- 4-7 years' deal experience in M&A transactions or Restructuring/Chapter 11 transactions, leveraged finance transactions and/or related law firm expertise
- Must include a good working knowledge of broker-dealer regulation
- Proficient with Outlook, Word, and Excel
- Strong work ethic; an "athlete" in spirit
