Family Allergy & Asthma is a dynamic and rapidly growing healthcare company dedicated to being the leading caregiver for patients with allergies and asthma. As we continue to expand our operations and pursue strategic initiatives, we are seeking a talented and motivated individual to join our team as General Counsel.
The General Counsel will play a pivotal role in supporting Family Allergy & Asthma's growth initiatives. The successful candidate will be responsible for overseeing and advising on various legal matters, with a primary focus on M&A, investment, and other corporate development activities. The role involves active participation in the due diligence process, negotiation of term sheets, and drafting definitive transaction agreements. In addition to these core responsibilities, the General Counsel will collaborate with external counsel, contribute to FAA compliance efforts, and address general corporate matters.
Location: Hybrid remote - up to 15% travel (offices located in AR, FL, IL, IN, KY, MO, OH, PA and TN) - Eastern or Central time zone preferred
Work schedule: Monday - Friday, 8:00 AM - 5:00 PM
General Counsel Duties and Responsibilities:
- Assist with mergers and acquisitions, including due diligence, transaction valuations, transaction documentation, and post close integration tasks
- Examine, draft, and negotiate agreements, such as employment, facility, vendor, third party payer agreements
- Maintain knowledge of company’s operations and legal documents
- Advise company regarding risk management issues
- Stay up to date with regulatory changes, and conduct legal research to advise Board and senior leadership on legal matters pertaining to the business
- Liaison with outside counsel and insurance companies regarding any external assignments, including litigation and insurance claims
- Ensure compliance with laws and regulations that govern the business; function as Chief Compliance Officer
General Counsel Qualifications:
- Juris Doctor (JD) from an accredited law school and active bar membership
- 4 - 6 years of legal experience at an established law firm with a focus on healthcare law and contract negotiation
- Proficient legal experience in M&A
- Demonstrated experience negotiating and drafting complex contracts in the healthcare industry
- Strong analytical, problem-solving, and decision-making skills
- Excellent verbal and written communication skills
- Knowledge of statutes, rules and regulations pertaining to healthcare businesses
- Proficient understanding of business sensitivities and confidentiality
