The Role
Moderna is seeking a highly seasoned, motivated, and experienced IP attorney to serve as its IP Licensing & Transactions Counsel. This role is an exciting opportunity to become a critical component of the legal and business operations of a leading high-growth company in the biotech industry. We need a pragmatic, business-minded professional with deep industry experience in assessing the IP risks commonly associated with transactions in the life sciences industry. The ideal candidate will advise and counsel internal clients and colleagues on IP risks associated with a variety of transactions, perform and manage IP due diligence analyses, and exercise sound judgment in providing strategic input for business decisions. The candidate must also have strong analytical and communication skills and demonstrated experience in contributing to a high-performing, cross-functional team.
Here's What You'll Do
  • Provide expert counsel and strategic guidance to internal clients related to IP risk associated with various types of transactions, including by assessing potential effects on NPV
  • Partner with internal business development, legal, finance, research, manufacturing, commercial and other business teams to identify and understand their business goals, provide strategic input to enable business decisions informed by sound legal judgment
  • Perform and manage IP due diligence studies to assess potential impact on business objectives, advise clients, and draft and negotiate IP contractual provisions to address the company's overall objectives and priorities
  • Provide post-execution relationship support by interpreting IP contractual provisions for internal clients, drafting amendments and working to help avoid/resolve potential issues
  • Collaborate with other senior legal team members, departments, and project teams to analyze competitive intelligence related to mRNA technology and operationalize that intelligence to optimize outcomes
  • Recognize high pressure, time sensitive situations and respond clearly and pragmatically with high quality and timeliness
  • Contribute creative input into corporate strategic IP initiatives
Here's What You'll Need (Minimum Qualifications)
  • J.D. from an accredited law school and admitted into practice and in good standing in at least one state
  • 10+ years of experience in a top tier law firm or pharmaceutical/biotechnology firm with responsibility for providing IP advice and risk-assessment related to transactional matters, experience with due diligence projects, drafting and negotiating a wide variety of contracts related to research, development, licensing, manufacturing and other business arrangements in the life sciences industry.
Here's What You'll Bring to the Table (Preferred Qualifications)
  • B.S. degree in life sciences preferred
  • Experience in a fast-paced, dynamic culture with the ability to competently handle the intricacies of a complex ecosystem of platform, modality, therapeutic area, product and corporate partner intellectual property needs and the ability to maintain a high level of attention to detail without losing sight of the big picture.
  • Commitment to client service, finding solutions, relationship building, continued learning, proactivity and confidentiality
  • General understanding of the concepts, terminology and interdependencies that are important in the global, pre-commercial pharmaceutical industry, including with respect to intellectual property rights; IP litigation experience desired/preferred
  • Excellent interpersonal skills that are demonstrated by being articulate, direct and forthright, and serving as a collaborative and decisive team member and a strategic thinker with a broad perspective
  • Ability to manage and prioritize multiple matters simultaneously and to respond to rapidly shifting priorities in ambiguous or challenging situations
  • Demonstrated ability to own projects and consistently meet tight timing requirements and high-quality standards
  • Strong verbal and written communication skills, including proven ability to interact and communicate effectively with individuals from multiple departments at all levels of the organization
  • Ability to handle extremely sensitive confidential and proprietary information using impeccable discretion and judgment
