Sonic Healthcare USA has an immediate opening for Division Counsel in Austin, Texas.
As Division Counsel, you will provide general legal services on behalf of Sonic Healthcare USA, its divisions including all of its affiliated laboratories and anatomic pathology practices (collectively referred to as "SHUSA" or the "Company"). This is a senior counsel position that requires an attorney who can work both independently and collaboratively with other SHUSA corporate and in-house attorneys.
Principle Responsibilities:
  • Provides legal support for all departments of SHUSA , including sales, marketing, billing/reimbursement, compliance, human resources, quality control, contracting, procurement, operations, laboratory/pathology services, privacy, and SHUSA management and business leaders.
  • Collaborates with business leaders to ensure that company objectives are achieved through complex commercial contractual arrangements, including professional service agreements, laboratory services agreements, pathology services agreements, hospital agreements, sales agreements, vendor agreements and confidentiality agreements. Drafts, reviews and negotiates company contracts in a manner that addresses business and operational needs yet mitigates legal and regulatory risk.
  • Advises SHUSA management and sales organization on various federal and state health care fraud and abuse laws including the Anti-Kickback Statute, the Stark Law, Eliminating Kickbacks in Recovery Act and the False Claims Act; Medicare, Medicaid, and other third-party reimbursement issues; and general health care compliance matters.
  • Provides legal support to management on all aspects of the Company's legal program, including advice and assistance in modifying, communicating, implementing, and enforcing the Company's program to ensure continuous compliance.
  • Assist with SHUSA due diligence matters and other related issues arising out of M&A.
  • Provides day-to-day guidance to HR managers regarding various employee relations issues, including policy interpretation and compliance with various state and federal labor laws (e.g., Americans with Disabilities Act, Family Medical Leave Act, etc.).
  • Assists with the management of outside legal counsel in coordination with the SHUSA Chief General Counsel, ensuring efficient and effective use of resources and managing legal budgets.
  • Advises staff and business units on data privacy and security matters, including subpoena responses, records requests, and HIPAA best practices and breach determination and response.
  • Assist with the development and training on various legal topics, and develops and implements policies and procedures to assure company compliance with various laws.
  • First-hand experience in areas of risk management, healthcare, healthcare regulatory compliance, fraud and abuse issues, licensing, employment law, contract administration, litigation/dispute resolution, real estate and lease matters, promotional and marketing materials, privacy and security, health insurance/managed care payor issues.
  • Conducts legal research and provides counsel on a wide range of legal topics.
  • Handles both complex and general legal matters within area(s) of expertise, serve as a subject matter expert and acts as a resource to other in-house attorneys and legal team members; leads and directs the work of other legal staff members, as necessary.
  • Collaborates with the SHUSA leadership and other SHUSA attorneys to ensure alignment of responsibilities with Sonic Healthcare USA initiatives.

Education: Doctor of Jurisprudence required.
Legal Licensure: Member of state bar required; licensed to practice in the state of Texas preferred.
Location: Position will be based in Austin, Texas with some travel to SHUSA laboratories and pathology practices. In-office required with some flexibility for remote work.
Experience:
  • Minimum of seven (7) years of legal experience as an in-house or law firm attorney with significant experience in healthcare related fields including life sciences, hospital, laboratory or medical device; experience with laboratory or anatomic pathology issues preferred. Experience with various healthcare related contracts, and lease, and real estate contracting a plus.
  • Knowledge of Stark and Anti-kickback statutes and healthcare fraud and abuse laws.
  • Familiar commercial or third-party insurance contracts and reimbursement guidelines.
  • Familiar with Medicare and Medicaid billing requirements.
  • Ability to read, analyze, and interpret applicable statutes and regulations.
  • Strong legal research and writing and complex problem-solving skills.
  • A solutions-oriented, resilient team player with good judgment.
  • Ability to collect and analyze data, as necessary, to support legal advice and counsel.
  • Exceptional written, oral communication and interpersonal skills; ability to communicate effectively with C-Suite personnel, company business and operations leaders, outside counsel, opposing counsel, at all levels within the laboratories/pathology practices and with respective company clients.

Reporting Relationship: Reports to the SHUSA Chief General Counsel
This role will have routine access to Protected Health Information (PHI). Employees will be trained on reasonable safeguards and are expected to maintain strict confidentiality, as well as abide by all applicable privacy and security standards. Employees are expected only to access PHI when it is required to fulfill job duties.
