The Director of Global Executive Compensation partners with our Finance, Executive, Legal, and HR teams and private equity owner to manage complex equity programs. Key responsibilities include extensive financial modeling and in-depth problem-solving of tax, accounting, and executive communication issues. Reporting to the SVP of Compensation and Benefits, this leader will have a background in finance or accounting in publicly traded companies and will work closely with the SVP of Compensation and Benefits to lead the strategy, design, and execution of executive rewards programs, processes, and compliance responsibilities in order to help lead the company through the IPO process.
Essential Functions and Responsibilities
- Oversee the design and administration of NIQ's pre-IPO and post-IPO equity compensation plans, including collaborating with private equity owners to review, update, and analyze the equity pool and administer all aspects of the equity grants under the programs.
- Participate in M&A activities including the design and administration of replacement and/or legacy Executive Compensation programs.
- Support the design, implementation, and administration of short-term and long-term incentive programs using quantitative analysis, including dynamic scenario modeling.
- Prepare materials for Compensation Committee Meetings for Executive Compensation, equity programs, and other analyses requested by the Committee.
- Work with stakeholders in Finance and HR to design, implement, and manage the compensation strategy for executives and members of the board of directors.
- Participate in the review, selection, and implementation of a stock administration system in preparation for a future IPO.
- Develop strategic partnerships with Finance, HR, and Legal to understand their strategies and Executive Compensation goals and ensure Executive Compensation programs are understood.
- Build collaborative relationships with senior leaders and provide consultative advice and interpretation and clarification for Executive Compensation programs.
- Prepare compensation recommendations for executives including evaluating executive roles relative to the external market and internal equity.
- Prepare proxy related materials including the CD&A, compensation tables, and supporting data. Collaborate on drafting the compensation discussion sections appearing in the CD&A. Track NEO compensation and other executives that could reach NEO level.
- Develop Executive Compensation learning materials and participate in delivery of related training sessions to HR and senior leadership.
- Ensure all compensation programs comply with applicable laws and regulations; stay abreast of evolving thinking of governmental entities in anticipation of future changes.
Requirements
Education and Experience
- Bachelor's degree in Business, Finance, HR or related field; Master's degree or MBA strongly desired.
- At least 5 years' experience in Consulting, M&A, Finance/Accounting, or Executive Compensation for a public company.
- Experience working with the senior leadership of a public company.
- Global experience across multiple countries and regions
- Familiarity with a broad range of Executive Compensation topics (e.g., stock dilution, performance equity plans, change-in-control provisions)
- Knowledgeable on legislation affecting pay programs including SOX and regulatory compliance, federal/state rules, regulations regarding compensation, and the SEC's Executive Compensation requirements.
- Experience working with finance and legal partners on technical aspects of compensation, benefits plans, and tax and regulatory issues in a variety of countries.
- Expert in interpreting and presenting compensation data, conclusions and proposals, including to executives.
- Advanced skills in MS Excel including pivot tables and logic formulas including VLOOKUP's, concatenate function, etc.

- Proficient in MS Word, MS PowerPoint, SharePoint, and Excel and experience with SAP, Workday, or other HRIS systems
