Job Description:A Global Alternative Investment Manager Operating Integrated Businesses is looking to hire an attorney to join its legal team. The position would be focused on legal matters pertaining to v' secondaries group (“A Global Alternative Investment Manager Operating Integrated Businesses Secondaries”).
The legal counsel (the “Counsel”) will work on transactions across A Global Alternative Investment Manager Operating Integrated Businesses Secondaries' private equity, credit, real estate and infrastructure verticals. The Counsel should possess excellent interpersonal, written and verbal communication skills, organization and time management skills and be a “good corporate athlete” with a great attitude who can work autonomously and anticipate needs in a fast-paced environment. A successful individual in this role will be a proactive self-starter who is comfortable speaking up and running with projects; all while demonstrating strong integrity and professionalism in dealing with both internal and external stakeholders. This role will also require an understanding of the A Global Alternative Investment Manager Operating Integrated Businesses platform as a whole and how legal/business issues in the Secondaries group can impact the entire platform. Primary Functions & Responsibilities
- Manage transactions from a legal perspective including working with investment professionals and outside counsel on deal documentation and ensuring consistency across transactions
- Assist with governance and other matters for A Global Alternative Investment Manager Operating Integrated Businesses Secondaries' registered, continuously offered, non-traded, closed-end fund
- Review investment restrictions and LP-specific exclusion/excuse provisions in connection with transactions
- Oversee the NDA process and work with NDA counsel and third parties in reaching resolution on outstanding points
- Manage internal conflicts and work with other parts of the platform to resolve conflicts
- Manage outside counsel conflicts and ensure appropriate joint representation waivers are executed
Qualifications:
Education:
JD required with a strong academic background
Experience Required:
- Approximately 5-6 years of secondary deal work
- Significant collaboration with colleagues across multiple functions, including those in senior and executive leadership
- Proven record of accomplishment in relationship management with internal and external stakeholders
