Title: Counsel, Salty Snacks
Location: Remote; strong preference given to candidates located in Chicagoland area.
Summary:
The Hershey Company is seeking an attorney who is a highly competent, self-starter, detail-oriented and team player with 3-5 years of experience in commercial, supply chain and related matters at a law firm or in-house at a consumer-packaged goods company. The Counsel, Salty Snacks role will report to the Assistant General Counsel, Salty Snacks and will be a key member of the Hershey Salty Snacks legal team. This is a newly created position that will be responsible for providing legal advice and recommendations in support of the Hershey Salty Snacks division (including SKINNYPOP, PIRATE’S BOOTY, DOT’S HOMESTYLE PRETZELS, HARVEST ROAD and PRETZELS, INC.).
Candidates must have experience managing the commercial needs of a global, Fortune 500 company. At a minimum, candidates should be able to demonstrate significant experience leading commercial activities from a legal perspective, including being responsible for drafting and negotiating key commercial agreements as part of a cross-functional working group. The successful candidate will demonstrate the skills necessary to use high-level communication skills, both oral and written, to effectively communicate with various levels of leadership and staff, across functions and in various settings.
Some travel may be required to support local and out-of-state clients.
Summary of major duties:
Commercial – Supply Chain, Marketing, Sales, and Intellectual Property
Manage contract review/negotiation projects that are large in scope and complexity, often involving diverse areas of the law and many stakeholders
Analyze complex commercial/business concepts and identify relevant legal issues and related, real-world risks; provide prompt, clear and practical legal analysis, advice, and solutions; and generally, assist the business in achieving its goals
Review, analyze, negotiate, draft and approve contracts, licenses, policies, correspondence, and other documents related to the sales and distribution of Hershey Salty Snacks products
Draft and negotiate a wide range of agreements and documents for U.S. manufacturing, procurement and logistics teams, such as supply, co-man/co-pack, logistics, IT/IS and other supply chain agreements
Review marketing and advertising content to ensure compliance with applicable policies, laws and regulations
Assist with creating and revising play books and providing general legal support and guidance to the Salty Snacks Sales Team
Perform legal research as needed to support the Salty Snacks business initiatives and ensure compliance with applicable laws and regulations
Receive incoming questions and provide solutions across all functions of the Salty Snacks Team
Partner with Intellectual Property colleagues to manage and protect Division’s patents, trade secrets, trademarks, copyright, and other intellectual property assets
Develop and implement strategies to ensure legally compliant commercial relationships
Regulatory and Quality Assurance
Partner with Quality & Regulatory Compliance and R&D functions to support product development and commercialization activities and ensure compliance with federal and state regulations, standards and policies governing the production, labeling, and distribution of food
Ethics & Compliance and Privacy
Partner with Ethics & Compliance to develop and provide Salty Snacks employees with guidance consistent with Code of Conduct and related areas including anti-corruption, conflicts of interest, antitrust, anti-harassment, and other trainings
Partner with Ethics & Compliance and Privacy attorneys to manage risk and implement policies and processes to ensure compliance with federal and state privacy laws
Litigation
Partner with Global Litigation colleagues to manage Division’s commercial, employment, and other disputes
Policies and Training
Develop and execute policies, training and capabilities that support strategic initiatives
Identify emerging trends and developments in the commercial and digital environment and proactively develop strategies and tools that will help the business benefit from, and manage new risks associated with, these developments
Oversee the use of outside legal counsel for Hershey Salty Snacks and supply chain activities and contract review
Minimum Education and Experience Requirements:
Juris Doctor (J.D.) from accredited law school required
Admitted to practice in Pennsylvania or the ability to obtain a limited corporate counsel license in Pennsylvania (or the state of the candidate’s location)
3-5 years of relevant experience with a major law firm or corporation; minimum 2 years’ experience in a corporate, in-house legal setting is strongly preferred
Extensive experience supporting all legal-related corporate U.S. commercial activities
Experience in supervising and coordinating outside legal counsel and other advisors
Experience and knowledge in risk management and evaluation
Experience packaged goods environment is preferred
Experience within a consumer-packaged goods context is preferred
Experience supporting food manufacturing operations is a plus
Independent self-starter with the ability to effectively manage and prioritize a high-volume workload and work well under pressure in a fast-moving and often-changing environment
Exercise excellent judgment and initiative, project management, and time management skills to successfully drive projects to completion
Problem-solving skills that demonstrate ability to critically evaluate and analyze issues and recommend well thought-out and/or creative solutions
Candidates must be exceptional communicators with proven ability to facilitate discussions and issue resolution among leaders in the Legal Department and the business, as interaction with key business leaders is expected
Experience drafting and negotiating contracts in procurement and sales, including MSAs, commercial agreements, vendor agreements, NDAs, and other third-party agreements
Strong writing skills to create work product that is clear, concise, and effective
The successful candidate will have strong leadership skills with passionate commitment to foster a diverse, inclusive, and collaborative culture to deliver high impact Legal and business results
High degree of skill in computer and information technology resources, including Microsoft Office 365, LegalTracker, and Agiloft
