Job Description:An American Mass Media Company has an opening for an attorney with at least six years' experience, specializing in the areas of licensing and technology transactions. You will be part of a commercial legal and business affairs team that provides support across the business/commercial side of the company and will report to a Senior Counsel on the team.
Responsibilities:
- Review, draft and negotiate a wide range of commercial agreements, including:
- Complex technology transactions such as enterprise, IT, software/SaaS, open source software, artificial intelligence, technology platform arrangements, media and marketing service agreements, supporting advertising, marketing, product, technology, and data teams;
- Licensing of intellectual property, data, technology, and end user license agreements, outbound and inbound' providing primary legal support for The New York Times Store, and Licensing and B2B Subscription groups; and
- Other commercial transactional needs, as they arise
- Advise broad spectrum of internal teams on direct to consumer products and transactions
- Advise product and engineering teams on product development, by reviewing product features and complex new technologies and platforms, in collaboration with legal and other subject matter experts
- Provide general commercial and compliance advice and training, remain current on legal decisions, statutory changes and industry developments, and advise clients accordingly.
- Identify and analyze legal issues, help to determine business terms and structure transactions, and provide advice to colleagues that balances business objectives and legal risk.
- Ability to contribute to discussions of general business issues; to work well with a wide range of clients; and to work independently and as part of a team.
- Strong organizational skills and ability to balance competing demands under time pressure.

- Excellent judgment and professional integrity
Basic Qualifications:
- Undergraduate and J.D. degrees from recognized institutions and a member of the New York Bar.
- At least six years' relevant work experience that includes the handling of a broad range of commercial and technology transactions.
- Prior experience working as in-house counsel
- Prior experience reviewing, drafting and negotiating technology transactions, including software/SaaS and content licensing for technology platforms
- Ability to analyze complex legal and regulatory material and communicate their implications in clear and simple language, both written and oral, appropriate to the audienc
- Strong problem-solving skills, driven to find workable solutions to support business goals
Preferred Qualifications:
- Working knowledge of domestic and international privacy laws
- Prior experience negotiating online advertising technology agreements
- Experience negotiating government contracts a plus
