POSITION TITLE
Corporate M&A Counsel
POSITION OVERVIEW
This position is an excellent opportunity to make a significant difference at a large, privately-held, diversified global manufacturing company. The Corporate M&A Counsel will report to the VP, Deputy General Counsel and work directly with the SVP, General Counsel and other c-suite leaders across the Company. This position will have significant responsibility and autonomy for managing a broad range of transactional and M&A matters, providing corporate advice, and assisting with corporate governance. The ideal candidate will demonstrate strong business acumen and aptitude for balancing the competing demands and priorities of the Company. The Corporate M&A Counsel will work closely with other members of the Legal Department, internal business clients, and outside counsel. This position is located at the Company's global headquarters in Spartanburg, SC, where a hybrid work schedule is available.
JOB RESPONSIBILITIES
Engage directly with business leaders, working closely to solve business challenges and draft and negotiate agreements
Directly manage legal aspects of M&A, securities and financing transactions, working with internal teams and outside counsel
Work with the SVP, General Counsel & Secretary and internal teams to maintain and improve corporate governance for a complex, global corporate structure
Identify and analyze business objectives at a high level and develop solutions which satisfy and balance the interests of our multiple global businesses
QUALIFICATIONS - REQUIRED
JD and current state bar membership required
5+ years' experience with transactional legal work, including complex commercial transactions and mergers and acquisitions
Excellent drafting and negotiation skills, with an eye for detail
Ability to prioritize a busy and diverse workload, proactively identify and analyze potential issues and seek outside input when appropriate
Understanding of legal implications of various corporate governance and contractual matters and strong ability to spot legal issues
Ability to drive legal strategies and independently initiate new assignments
Demonstrated success cultivating strong client relationships
